Resolution 3993 - Purchase Lots 1, 2, 3 Block 24 (Kalispell News)139 RESOLUTION NO. 3993 A RESOLUTION AUTHORIZING THE ACQUISITION OF CERTAIN IMPROVEMENTS LOCATED ON LOTS 1, 2, AND 3; BLOCK 24■ KALISPELL ORIGINAL FROM THOMAS PRINTING, INC., AUTHORIZING THE PAYMENT OF RELOCATION COST, AND FURTHER AUTHORIZING THE PURCHASE OF LOTS 1, 2, AND 3; BLOCK 24, KALISPELL ORIGINAL SHOULD CERTAIN CONTINGENCIES NOT BE MET, AND AUTHORIZING THE CITY MANAGER TO ACCEPT SAID IMPROVEMENTS AND/OR REAL PROPERTY ON BEHALF OF THE CITY. WHEREAS, the City of Kalispell by Ordinance No. 1065 passed on the 4th day of November, 1985, did designate certain projects within the Downtown Redevelopment Area as Urban Renewal Projects, and WHEREAS, one of the projects designated by Ordinance No. 1065 consisted of acquiring certain parcels of real property deemed "blighted" within the Project area and undertaking of clearance and. demolition activities necessary to make land available for redevelopment by private enterprise, and WHEREAS, Thomas Printing, Inc., a Montana Corporation, owns certain real property within the Downtown Redevelopment Area, to - wit: Lots 1, 2, and 3; Block 24, Kalispell Original, and WHEREAS, the City has engaged the services of C. Robert White, MAI, Helena, Montana for the purpose of providing the City with an Evaluation of the Kalispell News Property (Thomas Printing, Inc.), and WHEREAS, C. Robert White has concluded, with regard to the Kalispell News Property, that "the lack of a substantial local market for this type of "heavy duty" building constitutes external/ economic obsolescence; which meets the definition of "blight" under Section 7-15-4206, MCA (Urban Renewal Law), and WHEREAS, Warehouse Industries, Inc., a Washington corporation, d/b/a Tidyman's has indicated a desire to acquire the real property comprising Lots 1, 2, and 3; Block 24, Kalispell Original, for the purpose of incorporating the land into an overall project involving a grocery store and other retail outlets, and WHEREAS, Thomas Printing, Inc. has offered to sell said property together with the improvements thereon, with consideration for the cost of relocating the Kalispell News, for the total sum of two hundred and sixty thousand dollars ($260,000.00), and WHEREAS, the "Evaluation" of C. Robert White indicated a value of said property within the range of $200,000.00 to $300,000.00, and l I I 140 WHEREAS, the City of Kalispell and. Warehouse Industries, Inc., d/b/a Tidyman's anticipate entering into a Development Agreement concerning the development of retailing outlets on said property, as well as property adjacent to said property, and the installation of certain infrastructure improvements to facilitate said development, and WHEREAS, the City interests in pursuing the objective projects designated in Ordinance No. 1065 will be served by participating in the acquisition of said property pursuant to a Development Agreement with Warehouse Industries, Inc. or purchasing said property outright for the purpose of directing development on said property, or on adjacent property, and WHEREAS, the City Council after reviewing the offer made by Thomas Printing, Inc. deems it appropriate, pursuant to Ordinance No. 1065, and in the best interest of the Kalispell Redevelopment Plan, that the City accept the offer made by Thomas Printing, Inc., and purchase the improvements on Lots 1, 2 and 3; Block 24, Kalispell Original for the sum of one hundred and fifty five thousand dollars ($155,000.00) said sum to include the cost of relocating the Kalispell News, and WHEREAS, it is further in the best interest of the City, and the Redevelopment Plan, that in the event Warehouse Industries, Inc. does not enter into a Development Plan, that the City purchase Lots 1, 2, and 3; Block 24, Kalispell Original, for the sum of two hundred and sixty thousand dollars ($260,000.00). NOW AND THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF KALISPELL AS FOLLOWS: SECTION I. That the City Manager is authorized and directed to purchase from Thomas Printing, Inc., the improvements located on Lots 1, 2 and 3; Block 24, Kalispell Original for the sum of one hundred and fifty five thousand dollars ($155,000.00), said sum including the cost of relocating the Kalispell News. SECTION II. That in the event Warehouse Industries, Inc. does not enter into a Development Agreement with regard to said property, The City Manager is authorized and directed to purchase from Thomas Printing, Inc., Lots 1, 2 and 3; Block 24, Kalispell Original for the sum of two hundred and sixty thousand dollars ($260,000.00), including improvements, said sum including the cost of relocating the Kalispell News. SECTION III. That the City Finance Officer is authorized and directed to pay in accordance with instructions given from Thomas Printing, Inc. the necessary funds, in accordance with the directions 2 F7 141 given by the City Manager under Sections I or II, supra, from funds properly appropriated in the 1991- 1992 Tax Increment Budget and from the proceeds of the funds made available from the Tax Increment Cash Flow. SECTION IV. That the City Attorney is authorized and directed to prepare any documents necessary to effect this Resolution and the City Manager is authorized and directed to accept and properly record on behalf of the City of Kalispell deed to said property. SECTION V. This Resolution shall take effect immediately upon passage by the City Council and approval by the Mayor.
