The undersigned, for and on behalf of D.A. Davidson & Co., financial consultant to City of
Kalispell, Montana (the "City"), with respect to the Special Improvement District No. 344 Bonds,
Series 2006 (the "Bonds"), issued by the City in the original aggregate principal amount of $4,520,000,,
hereby represents and certifies that, based on the "issue price" (as such term is defined in the 'Instructions
to the Information Return for Tax -Exempt Governmental Obligations, Form 8038-G (Rev. November,
2000)) as shown in the Certificate of Purchaser for the Bonds, the "weighted average maturity" (as such
term is defined in the instructions to the Information Return for Tax -Exempt Governmental Obligations,
Form 8038-G (Rev. November, 2000)) of the Bonds to be 10.541 years, the yield (as such term is defined
in the 'instructions to the Information Return for Tax -Exempt Governmental Obligations, Form 8038-G
(Rev. November, 2000)) of the Bonds to be 4.7376561%, and the proceeds of the Bonds to be used for
"bond issuance costs," including the underwriter's discount of D.A. Davidson & Co. (as such term is
defined in the instructions to the Information Return for.Tax-Exempt Governmental Obligations, Form
8038-G (Rev. November, 2000)) to be $156,000.
D.A. Davidson & Co. hereby represents that the ' fimdm*g of the Revolving Fund in the amount of
$226,000 for the Bonds and the fimding of the Reserve Account in the District Fund in the amount of
$226,000 is reasonably required to market the Bonds to the public.
