The undersigned, for and on behalf of D.A. Davidson & Co. (the "Purchaser"), with respect to the
Special Improvement District No. 344 Bonds, Series 2006 (the "Bonds"), issued by City of Kalispell,
Montana (the "City") in the original aggregate principal. amount of $4,520,000, hereby represents and
certifies that the reasonably expected reoffering price of the Bonds to the public is $4,520,000, not
including accrued 'Interest. The Purchaser has offered the Bonds to the public in a bona fide public
offering as the prices set forth below. Calculations of the issue price for each maturity of the Bonds are as

The purchaser acknowledges that the Bonds are special, limited obligations of the City payable
solely from the revenues pledged thereto under a resolution of the City Council of the City adopted on
June 19, 2006 and are not general or moral obligations of the City.
