Certification as to Official Statement
The Mayor (the "Mayor") of the City of Kalispell, Montana (the "City"), the City Manager of the
City (the "City Manager"), and the City Finance Director (the "Finance Director") of the City, do hereby
certify that they have examined the attached Preliminary Official Statement, dated May 31, 2006, plus the
Final Official Statement, dated June 13, 2006 (collectively, the "Official Statement"), prepared by D.A.
Davidson & Co., with respect to the offer and sale by the City of Kalispell, Montana (the "City"), of its
Special Improvement District No. 344 Bonds, Series 2006 (the "Bonds"), in the original aggregate
principal amount of $4,520,000. To the best knowledge of the undersigned Mayor, City Manager, and
Finance Director, as of the date hereof, the Official Statement is a complete and accurate representation of the
facts stated therein. The Official Statement, does not contain any untrue statement of a material fact or omit
to state a material fact which should be included therein relating to the Bonds or the City for the purpose for
which the Official Statement is to be used, or which is necessary in order to make the statements made in the
Official Statement, in light of the circumstances under which they are made, not misleading.
