CERTIFICATE AS TO SIGNATURES OF OFFICERS

The undersigned officials of the City of Kalispell, Montana (the "City"), under oath, do certify
that they are, respectively, (a) Pamela B. Kennedy, the duly qualified and acting Mayor (the "Mayor"),,
(b) James H. Patrick, the duly qualified and acting City Manager (the "City Manager"), (c) Theresa
White, the duly qualified and acting City Clerk (the "City Clerk"), and (d) Amy Robertson, the duly
qualified and acting Finance Director (the "Finance Director" and, collectively with the Mayor, the City
Manager, and the City Clerk, the "City Officials"). In such capacities the City Officials have been
authorized to execute the Special Improvement District No. 344 Bonds, Series 2006 (the "Bonds"), in the
original aggregate principal amount of $4,520,000, of the City. The signatures subscribed to this
certificate are the proper signatures of such City Officials, respectively, all facsimile signatures affixed to
the Bonds are true and correct engraved,, printed or stamped facsimiles of the proper signatures of the
undersigned City Officials, and a duplicate original of thi's certificate has been filed with the undersigned
City Clerk of the City in accordance with the provisions of Montana Code Annotated, Section 2-16-
114(2), as amended.
