PLANNED UNIT DEVELOPMENT IMPROVEMENT AGREEMENT THIS A GREEME T, made and entered into this day of March, 2007, by and between the City of Kalispell, Montana., Flathead County, Montana (hereinafter City) and The Meadows, Inc., a Montana Corporation (hereinafter The Meadows) and Thomas S. Klein and Jon R. Halland, individuals (hereinafter Kleinfflalland): WITNESSETH: WHEREAS, City and The Meadows entered into a planned unit development agreement relating to, among other things, the installation of public infrastructure improvements on The 0 Meadows, dated March 28, 2007, and (rr VO) WHEREAS, Exhibit "A"s attached hereto and fully incorporated herein by this reference, sets forth C the public infrastructure improvements yet to be installed for which The Meadows (0) and Klein/Halland are obligated, and T WHEREAS, Exhibit S", attached hereto and fully incorporated herein by this reference, is a copy of an Irrevocable Letter of Credit drawn on Glacier Bank M* favor of the City, valid until March 28, 2008, the original of which is held by the City, in the amount of $7271,003.86, representing 125% of the estimated cost of the remaining public -41 infrastructure improvements for which The Meadows and Klein/Halland are K obligated. 1 NOW, THEREFORE, in consideration of the covenants and agreements contained herein, the City, The Meadows and Klein/Halland hereby agree as follows: 1. That pursuant to the Planned Unit Development Agreement of the parties, the Certification of Work to be Completed [Exhibit "A" attached hereto] and the Letter of Credit supplied by Glacier Bank [Exhibit "B" attached hereto], The Meadows and Klein/Halland shall complete all of the public infrastructure improvements set forth within Exhibit "A„ at least 30 days prior to the expiration of the Letter of Credit. 2. In the event that The Meadows and Klein/Halland fail to complete all of the public infrastructure improvements set forth within Exhibit `*A" at least 30 days prior to the expiration of the Letter of Credit, the City may call on that portion of the letter of credit equal to 125% of the value of the remaining improvements to be made.
