CERTIFICATE AND RECEIPT
I, the undersigned, being the duly qualified and acting City Finance Director of the City
of Kalispell, Montana, hereby certify and acknowledge that on the date of this instrument, I
received from the Department of Natural Resources and Conservation of the State of Montana,
as purchaser thereof (the "Purchaser"), all of the principal amount of the Special Improvement
District No. 345 Bond (DNRC Water Pollution Control State Revolving Loan Program), Series
2014, of the City (the "Bond"), dated, as originally issued, as of the date hereof, and issued in the
principal amount of $242,000, and bearing interest at the rate of two percent (2.00%) per annum.
In addition, the Borrower shall pay an Administrative Expense Surcharge and a Loan Loss
Reserve Surcharge on the outstanding principal amount of the Bond at the rates of seventy-five
hundredths of one percent (0.75%) and twenty-five hundredths of one percent (0.25%),
respectively, per annum.
From the amount received from the Purchaser on the date hereof, I have deposited
$217,800.00 in the Construction Account, $11,172.33 in the District Reserve Fund, $12,100.00
in the Revolving Fund, and $927.67 in the Interest Account.
As Bond Registrar designated under Resolution No. 5659, adopted by the City Council of
the City of Kalispell on February 3, 2014, authorizing the issuance of the Bond, I further certify
that on the date hereof the Bond Registrar has authenticated and delivered the Bond to the
Purchaser. I further certify that the Bond so authenticated and delivered was registered, on the
face thereof and also in the bond register maintained by the Bond Registrar, in the name of the
Purchaser.
