For Interim City Manager
This Agreement, made and entered into this day of
, 1996 by and between the City of Kalispell,
Montana, a municipal corporation, hereafter referred to as "City";
and The Carl S. Becker Company, Inc., hereafter referred to as
"Company."
WITNESSED
Whereas, the City Council desires to contract for professional
services of a qualified Interim City Manager; and
Whereas, Alan A. Thelen, Vice President of the Carl S. Becker
Company, Inc., submitted a proposal dated February 16 and an
amendment to this proposal dated February 23 (copies of which are
attached to this agreement) to serve as the Interim City Manager of
the City; and
Whereas, Alan A. Thelen is qualified and experienced to perform
such services; and
Whereas, the City Council desires to engage the services of The
Carl S. Becker Company, Inc., to provide Interim City Manager
services to the City; to perform the duties of the City Manager;
and accepted the proposal at the City Council meeting on the 4th
day of March, 1996.
Now, therefore, the City and the Company for the consideration
herein set forth, mutually agree as follows:
Section 1. Duties
The City engages The Carl S. Becker Company, Inc., primarily Alan
A. Thelen as Interim City Manager, to perform the functions and -
duties specified herein and as provided in the proposal dated
February 23, 1996 and to perform other legally permissible and
proper duties and functions as the City Council may assign,
including the preparation of the City budget and review of the
salary schedule of management staff.
Section 2. Terms
The term of this agreement shall be effective on March 7, 1996 for
approximately 90 days or until such time as a permanent city
manager can be selected and be available in the City.
Section 3. Compensation.
The City agrees to pay the Company for Mr. Thelen's services at the
rate of $6,000 for services performed. The Company will bill the
City for Mr. Thelen's services on the 1st of the month for the time
of the previous month; partial month services will be prorated
based on days per month. Mr. Thelen will be provided an automobile
for his use during the term of this agreement. Housing will be
provided as set forth in the proposal of February 23, 1996.

with our phone discussion either a current staff vehicle or a rental is acceptable. The Carl

Dear Mayor Rauthe;
This letter is a proposal to provide interim professional management service by the Carl S.
Becker Inc. to the City of Kalispell. Specifically, we will provide City Management services
for the City of Kalispell for approximately four (4) months starting in early March.
It is our proposal to provide these services through one of our principal Al Thelen. Mr.
Thelon's 30 years of experience as a City and County Manager includes 51/2 years each as the
City Manger of Helena and Billings, Montana. He recently served five months as an interim
Manager in AT=ce, Nebraska. (A copy of his resume and two unsolicited letters fram two
Mayors of cities that Mr. Thelen has served are attached) -
We will provide these services for a fee of $6,000 a month, reimbursement for actual
mousing expenses and the availability of an automobile for City business. Since Mr- Thelen
will be a contract employee, the city will not be obligated for any payroll costs or fringe

The Carl S. Becker Company has provided management services to cities and counties in
the Rocky Mountain am for more than 30 years_ (.A summary of services provided by the

Company is attached). Our interim .management services were initiated in 1992 when W.
Thelen joined our company.
Mr. Thelen can be available on March 4, 1996 or on an appropriate date after March 4,
1996 that meets ycw needs. CW firm and Mr. Thelen in particular has assisted cities and
counties in their selection of management personnel and, if desired, he can assist the City
Council in their process of selecting a permanent, City manager.
In addition to Mr. Thelen's I 1 yews experience in Montana (1974-1985) he has
participated in mectings of the League of Cities and Towns and the Local Goveroment
Review process in recent years and is is "tune" with city government in Montana.
