SUBJECT: Final Plat of Spring Prairie Center- Phase III
MEETING DATE: November 4, 2013
BACKGROUND: The Kalispell City Planning Department received a request from TKG
Spring Prairie Development Three, LLC. for final plat approval of Spring Prairie Center Phase III,
a 10-lot commercial subdivision in the NE 1/a of Section 36. The subdivision is the third and final
phase of a commercial development that was preliminarily approved by the City Council in
December 2003.
The three phases, known as Spring Prairie Center, were permitted to contain 29 lots on 54 acres.
Phase III, located north of Treeline Road, covers 21.9 acres and contains 10 lots ranging from 0.7
acres to 3.6 acres. The parcel being subdivided contains a single retail commercial structure,
Cabela's Outpost, which will be located on the proposed Lot 4 of the plat.
The final plat for Phase I was approved in 2006 and now contains Lowe's, Starbucks, Wells
Fargo, and Famous Dave's. The final plat for Phase II, also approved in 2006, contains Costco,
McDonalds and MedNorth.
Phase III was initially given preliminary plat approval in 2003. In 2008, City Council granted a
one-year extension giving the developer until November 6, 2009 to file a final plat with the city.
For financial reasons, the developer allowed the preliminary plat to expire without completing the
required improvements or executing a subdivision improvement agreement. In December 2010,
Goldberg Properties, Inc. submitted a new application for preliminary plat. The City Council
conditionally approved the preliminary plat request at their meeting on February 7, 2011.
The applicant has complied with the conditions of approval contained within Resolution No.
5478. All required public and private infrastructure has been installed in accordance with
applicable Kalispell codes and standards in support of the public's health, safety and welfare.
RECOMMENDATION: A motion to approve the Plat of Spring Prairie Center Phase III
located in the east half of the northeast quarter of Section 36, Township 29 North, Range 22
West, P.M.M., Flathead County, Montana.
FISCAL EFFECTS: Approval would have a positive fiscal effect to the City.
ALTERNATIVES: Deny the request.

Dear Doug:
Karen Blumenstein with TKG Spring Prairie Development Three, LLC submitted a request for final
plat approval of Spring Prairie Center Phase III, a 10-lot commercial subdivision in the NE 1/4 of
Section 36. The subdivision is the third and final phase of a commercial development that was
preliminarily approved by the City Council in December 2011.
Phase III was initially given preliminary plat approval in 2003. In 2008, City Council granted a one-
year extension giving the developer until November 6, 2009, to file a final plat with the city. For
financial reasons, .the developer allowed the preliminary plat to expire without completing the required
improvements or executing a subdivision improvement agreement. In December 2010, Goldberg
Properties, Inc. submitted a new application for preliminary plat. The City Council approved the
preliminary plat with 17 conditions at their meeting on February 7, 2011, with Resolution No. 5478.
All of the conditions have been met or adequately addressed. The following report summarizes the
applicant's compliance with the conditions of approval contained within Resolution No. 5478.
COMPLIANCE WITH CONDITIONS OF APPROVAL
General Conditions:
1. Development of the subdivision shall be platted in substantial compliance with the
preliminary plat approved which governs the location of lots and roadways within the
subdivision and shall be in compliance with the Spring Prairie PUD and PUD agreement
adopted in December 2001 as amended. (Spring Prairie PUD)
Staff Response: The final plat is in compliance with the preliminary plat that was approved in
February 2011, and the Spring Prairie PUD that was adopted in 2001 as amended. The number of
lots is unchanged, and the layout was adjusted slightly to provide necessary access and utilities. A
copy of the Final Plat is attached. This condition has been met.
2. Prior to anX excavation or earthwork, a City Storm Water Management Permit shall be
approved and issued from the Kalispell Public Works Department. In accordance with
Ordinance 1600, the permit shall include a permit application, site map, narrative describing
the best management practices to be used and a completed checklist. In addition to the City
Storm Water Management Permit the developer shall submit a copy of the State General
Construction Storm Water Discharge Permit Notice of Intent (NOI) and Storm Water
Pollution Prevention Plan (SWPPP). At the time of final plat, the project engineer shall certify
that the development is in compliance with the approved City Storm Water Management
Permit. (Ordinance 1600 and Findings of Fact, Section D)
Staff Response: This condition has been met. The applicant applied for and received a City Storm
Water Management Permit from the Kalispell Public Works Department to perform the necessary site
work to develop the subject property. The applicant's project engineer has certified that all of the
development was completed in compliance with the approved Permit. A copy of the September 27,
2013, completion letter from the applicant's engineer is attached.
Prior to final plat:
The project site's frontage along Treeline Road shall be improved in accordance with the City
of Kalispell's Standards for Design and Construction and Montana Public Works Standards;
and shall be certified by an engineer licensed in the State of Montana. All design work shall
be reviewed and approved by the Kalispell Public Works Department prior to construction.
This infrastructure shall include but not be limited to streets, street lighting, street signage,
curb, gutter, street trees, boulevard and sidewalk. New infrastructure shall tie into the existing
street infrastructure. (Findings of Fact, Section D)
Staff Response: This condition has been met. The frontage of the project site, along the north side
of Treeline Road, has been designed and constructed in conformance to the City of Kalispell's
Standards for Design and Construction and Montana Public Works Standards. All new infrastructure
has been satisfactorily connected to the existing street infrastructure. The project engineer and the
City's Public Works Department have inspected the improvements and certified them as complete.
See attached letter from the applicant's engineer, dated September 27, 2013, and the Kalispell Public
Works Department, dated October 25, 201.3.
4. Water and sewer main extensions shall be reviewed and approved by the Kalispell Public
Works Department prior to installation. (Findings of Fact, Section D)
Staff Response: This condition has been met. Prior to water and sewer line installation, the
applicant submitted a proposed utility installation plan. These plans were approved and issued by the
Kalispell Public Works Department. Attached is a letter from the Kalispell Public Works Department
dated May 30, 2013. All required improvements have been installed per the approved plans, certified
by the applicant's engineer, and the Kalispell Public Works Department.
5. The developer shall submit to the Kalispell Public Works Department for review and approval
a storm water report and an engineered drainage plan that meets the requirements of the
current city standards for design and construction. (Findings of Fact, Section D)
Staff Response: This condition has been met. The applicant submitted a Storm Water Report and
Engineered Drainage Plan to the Kalispell Public Works Department. This plan was reviewed and
approved by the Public Works Department prior to issuance of permit to construct storm drainage
facilities at the project site. Attached is a letter from Kalispell Public Works dated May 30, 2013.
6. The approved engineered drainage report and design, in accordance with City of Kalispell
standards, shall be completed for the entire development (roadways, storm water storage
facilities and storm water systems) prior to final plat. (Findings of Fact, Section D)
Staff Response: This condition has been met. The applicant submitted a Storm Water Report and
Engineered Drainage Plan to the Kalispell Public Works Department. This plan was reviewed and
approved by the Public Works Department prior to issuance of permit to construct storm drainage
facilities at the project site. These plans were approved and issued on May 30, 2013.
7. A letter shall be obtained from the Kalispell Public Works Department approving the plans
and specifications for streets, water, sewer and drainage facilities for the subdivision.
(Kalispell Sub. Regs. Section 3.12 — 3.15).
Staff Response: This condition has been met. All of the required streets, water, sewer and drainage
facilities plans were approved by the City of Kalispell Public Works Department prior to permission
to construct. An approval letter from the Kalispell Public Works Department dated May 30, 2013 is
attached.
8. A letter shall be provided from an engineer licensed in the State of Montana certifying that the
improvements have been installed according to the required plans, specifications and
standards. A letter from the Kalispell Public Works Department stating that the required
improvements have been reviewed and accepted by the city shall be submitted prior to final
plat. (Kalispell Sub Regs. Sections 3.09, 3.11— 3.15).
Staff Response: This condition has been met. A letter was submitted to the City of Kalispell from
the applicant's engineer stating that all of the require improvements have been installed per the
approved plans or that a bond was in place to secure completion of any improvements yet to be
completed. The letter, dated September 27, 2013, from the applicants engineer is attached. A letter
from the City of Kalispell Public Works Department accepting all of the installed utilities is also
attached.
9. All new utilities shall be installed underground. (Kalispell Sub. Regs. Section 3.17A).
Staff Response: This condition has been met. All new utilities required to serve the proposed
subdivision have been installed underground.
10. Pedestrian access shall be provided as shown on the Spring Prairie Center "Site Plan" dated
12/29/10. The bike path along Highway 93 shall be installed prior to final plat approval. The
following additional development requirements for pedestrian facilities shall apply:
a. A pedestrian bike trail (a minimum of 10 feet wide) shall be constructed along the
entire US Highway 93 frontage. The bike path shall be integrally designed into the
landscape plan required between the curb line of US 93 and the 20 foot required
landscape buffer required by the PUD.
b. The sidewalk along Treeline Road shall integrate into and connect with the Highway
93 bike path and tie into the existing sidewalk on Treeline Road.
C. One east -west sidewalk corridor shall be required to extend through the main tenant
parking lots. The sidewalk should be coordinated with the main entrance of one or
more of the tenant stores.
d. Phase 3 shall have similar pedestrian access treatment required for development in
phases 1 & 2. At a minimum this includes the following:
• North -south sidewalks will be required on the internal access roads and within
the parking lots. The sidewalks will need to provide a connection to the front
doors of the anchor tenants and the sidewalk along Treeline Road.
• A sidewalk will be required along the complete length of the internal private
access road that parallels US 93.
• A sidewalk will be required along the fronts of the building pads in a
continuous fashion.
• A sidewalk connection shall be made from the sidewalks on the interior of the
site to the bike path along Highway 93 on lots 8, 9 and drainage tract C.
e. Each internal street shall have detached sidewalks with landscaped boulevard.
Sidewalk corridors should be extended through major parking lots in the same theme
as phases 1 and 2.
f. Unless sidewalks and trails are located inside tenant parking lots they shall be
detached in nature with a landscape boulevard between the walk/trail and the curb.
g. Sidewalks shall be extended from adjacent trails and sidewalks into actual parcels to
provide a connected and continuous walking area.
h.. All sidewalks located within parking lots shall have a raised concrete surface for
separation from traffic and parking. Where sidewalks cross traffic Lanes, the sidewalk
may be at grade but shall be constructed of colored or textured concrete, stone or other
contrasting material to visually denote a pedestrian way. Simply painting the walk
area is not adequate. (Per Section 3.03 (B) of the PUD Agreement, Section 1 #8 of the
PUD ordinance and submitted site plan dated 1.2/29/10).
Staff Response: This condition has been met. An overall site plan was approved that included the
construction of a bike path along Highway 93 and network of sidewalks along the perimeter and
internal to the site. All of the required bike paths and sidewalks have been installed per the approved
site plan.
11. Development of an overall landscape plan addressing public and private street boulevards,
street trees; perimeter project landscaping, parking lot landscaping and all common area
landscaping shall be submitted to the Parks and Recreation Department for review and
approval in writing prior to installation. The plan shall address all PUD requirements and
compliance with attached plans and application materials. The landscaping improvements in
the public R/W and the landscape strip described in (c) below shall be accomplished at the
time of final plat. The landscaping improvements on private property shall be addressed at
the time of building permit issuance. In particular the landscape plan shall address:
a. All landscape buffers, boulevards, tree planters, landscape islands, tree wells, etc. and
common areas with live landscape materials shall be provided with adequate
irrigation.
b. The applicant or future leases shall be responsible to insure the live landscaping as
approved on the original landscape plan and installed is maintained in a "live"
condition.
C. An irrigated landscape corridor of at least 20 feet in width shall parallel the R/W of
US Highway 93 including undulating topography and have a mix of tree plantings
with a ground cover predominately of lawn. A similar 10-foot landscape treatment
shall be developed along the Bypass Corridor.
d. In developing the landscape plan, the developer shall comply with the definition of
landscaping as defined in the Kalispell Zoning Ordinance. Bark, mulch, rock, etc.
may augment live landscape features but the primary feature in all landscaping
treatments shall be growing materials unless specifically modified as in special cases
such as internal parking lot sidewalk corridors where trees would be in a protective
grate as they line a sidewalk and form a canopy.
e. Landscape islands within parking lots shall incorporate predominately living
materials. One exception would be the raised sidewalk corridors extending through
the parking lots as shown on the submitted December 29, 2010. Spring Prairie Center
site plan where trees within tree grates lining sidewalks is acceptable. Note that in
parking lot landscape islands, shade trees shall be placed in such intensity and location
as to form a canopy where they cover or line sidewalks and where ever they are used,
a visual break from the open asphalt parking areas surrounding it. The site plan shows
two shade trees at the ends of islands and 4 trees within internal islands. This may or
may not be adequate depending on species selected.
f. The major landscape corridor extending north -south through the major tenant parking
lots shall include raised curb planters measuring approximately 18' x 36' or typically 4
parking spaces in size.
(Kalispell Subdivision Regulations, Section 3.11 and the Spring Prairie PUD)
Staff Response: This condition has been met. All of the required landscaping has been installed or
will be installed in accordance with the City of Kalispell Subdivision Regulations. Landscaping of
the resulting subdivision lots will be reviewed for compliance with the City of Kalispell landscaping
standards at the time of building permit application. Attached is a memorandum from the Kalispell
Parks and Recreation Department, dated October 25, 2013, accepting the site landscaping and
releasing any performance bonds.
12. The following requirements shall be met per the Kalispell Fire Department and so certified in
writing by the Fire Department: (Kalispell Subdivision Regulations, Section 3.20; Findings of
Fact, Section D).
a. Water mains designed to provide required fire flows shall be installed per City
specifications at approved locations. Fire flows shall be in accordance with International
Fire Code, Appendix B.
b. Fire hydrants shall be provided per City specifications at locations approved by this
department, prior to combustible construction.
c. Fire Department access shall be provided in accordance with International Fire Code
Chapter 5.
d. Street naming shall be approved by the fire department.
e. Addressing shall comply with the International Fire Code and Kalispell Fire Department
Standard Operating Guidelines.
f. Required fire flows shall be verified and approved by the Kalispell Fire Department prior
to combustible construction.
Staff Response: This condition has been met. The Kalispell Fire Department has submitted a letter
stating that all of the conditions listed in Condition 12 of the approved preliminary plat have been
completed to the Fire Department's satisfaction. See attached compliance letter dated 10/25/2013.
13. The applicant shall obtain the necessary permitting and approval letters from BPA certifying
that the subdivision is developed in accordance with BPA's requirements for development
within the 250 foot right-of-way. (Findings of Fact Section A)
Staff Response: This condition has been met. The applicant submitted a letter of consent from
Bonneville Power Authority (BPA) stating their approval of the development within their 250-foot
easement area subject to certain conditions. See attached letter of consent dated 5/22/2013.
14. All existing and proposed easements shall be indicated on the face of the final plat. Utility
easements for City water and sewer shall be provided to allow for the logical extension of
utilities from this subdivision to adjoining properties. A letter from the Kalispell Public Works
Department shall be obtained stating that the required easements are being shown on the final
plat. (Kalispell Subdivision Regulations, Section 3.18)
Staff Response: The final plat is in compliance. All existing and produced utility easements are
shown on page 2 of the final plat and are consistent with the construction plans approved by the
Kalispell Public Works Department.
On -going Conditions:
15. All areas disturbed during development shall be re -vegetated with a weed -free mix
immediately after development.
Staff Response: All of the disturbed areas have been re -vegetated in accordance with plans
approved by the Kalispell Parks and Recreation Department, or will be re -vegetated following
construction on the individual lease lots.
16. Hazardous weed abatement shall be provided in accordance with City of Kalispell Ordinance
10-8 and a note shall be placed on the face of the final plat stating that hazardous weed
abatement shall be provided in accordance with City of Kalispell Ordinance 10-8.
Staff Response: A note has been placed on Sheet 2 of the final plat stating, "Hazardous weed
abatement shall be provided in accordance with City of Kalispell Ordinance 10-8."
17. The preliminary approval for Phase 3 shall be valid for a period of three years from the date
of approval. (Kalispell Sub. Regs. Section 2.06 (E)(7).
Staff Response: The final plat application was received before the three year period elapsed. This
condition has been met.
COMPLIANCE WITH APPROVED PRELIMINARY PLAT
The final plat is in substantial compliance with the preliminary plat which was approved by the
Kalispell City Council on February 7, 2011.
COMPLIANCE WITH THE SUBDIVISION REGULATIONS:
This subdivision plat has been found to be in compliance with the State and City Subdivision
Regulations.
COMPLIANCE WITH THE ZONING REGULATIONS
This subdivision can be found to be in compliance with the Kalispell Zoning Ordinance and the B-
5/PUD, Industrial-Commercial/Planned Unit Development, zoning designation for the property
which governs the dimensional requirements of the lots within the subdivision as well as the uses.
RECOMMENDATION:
It can be found that the conditions of preliminary plat approval have been met or are otherwise
adequately addressed. The staff recommends that the Kalispell City Council approve the final plat
for Spring Prairie Center Phase III. Please schedule this matter for the regular city council meeting of
November 4, 2013.

A RESOLUTION CONDITIONALLY APPROVING THE PRE, LIMINARY PLAT OF
SPRING PRAIRIE CENTER PHASE 3, MORE PARTICULARLY DESCRIBED AS LYING
IN THE EAST HALF OF THE NORTHEAST QUARTER OF SECTION 36, TOWNSHIP 29
NORTH, RANGE 22 WE, P.M.M., FLATHEAD COUNTY, MONTANA.
WHEREAS, Goldberg Properties, Inc, the lessor of the certain real property described above, has
petitioned for approval of the Subdivision Plat of said property, and
WHEREAS, the Kalispell City Planning Board and Zoning Commission held a public hearing on
January 11, 2011 on the proposal and reviewed Subdivision Report #KPP-10-2
issued by the Kalispell Planning Department, and
WHEREAS, the Kalispell City Planning Board and Zoning Commission has recommended
approval of the Preliminary Plat of Spring Prairie Center Phase 3 subject to certain
conditions and recommendations, and
WHEREAS, the City Council of the City of Kalispell at its regular Council Meeting of February 7,
2011, reviewed the Kalispell Planning Department Report #KPP-10-2, reviewed the
recommendations of the Kalispell City Planning Board and Zoning Commission, and
found from the Preliminary Plat, and evidence, that the subdivision is in the public
interest.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
KALISPELL, MONTANA AS FOLLOWS:
SECTION I. That the Findings of Fact contained in Kalispell Planning Department Report
#KPP-10-2 are hereby adopted as the Findings of Fact of the City Council.
SECTION H. That the application of Goldberg Properties for approval of the Preliminary
Plat of Spring Prairie Center Phase 3, Kalispell, Flathead County, Montana is
hereby approved subject to the following conditions:

• North -south sidewalks will be required on the internal access roads and
within the parking lots. The sidewalks will need to provide a connection to
the front doors of the anchor tenants and the sidewalk along Treeline Road.
• A sidewalk will be required along the complete length of the internal private
access road that parallels US 93.
s A sidewalk will be required along the fronts of the building pads in a
continuous fashion.
® A sidewalk connection shall be made from the sidewalks on the interior of
the site to the bike path along Highway 93 on lots 8, 9 and drainage tract C.
e. Each internal street shall have detached sidewalks with landscaped boulevard.
Sidewalk corridors should be extended through major parking lots in the same theme

f. Unless sidewalks and trails are located inside tenant parking lots they shall be

g. Sidewalks shall be extended from adjacent trails and sidewalks into actual parcels to
provide a connected and continuous walking area.
h. All sidewalks located within parking lots shall have a raised concrete surface for
separation from traffic and parking. Where sidewalks cross traffic lanes, the sidewalk
may be at grade but shall be constructed of colored or textured concrete, stone or
other contrasting material to visually denote a pedestrian way. Simply painting the
walk area is not adequate. (Per Section 3.03 (B) of the PUD Agreement, Section 1 #8
of the PUD ordinance and submitted site plan dated 12/29/10).
11. Development of an overall landscape plan addressing public and private street boulevards,
street trees, perimeter project landscaping, parking lot landscaping and all common area
landscaping shall be submitted to the Parks and Recreation Department for review and
approval in writing prior to installation. The plan shall address all PUD requirements and
compliance with attached plans and application materials. The landscaping improvements in
the public R/W and the landscape strip described in (c) below shall be accomplished at the
time of final plat. The landscaping improvements on private property shall be addressed at
the time of building permit issuance. In particular the landscape plan shall address:
a. All landscape buffers, boulevards, tree planters, landscape islands, tree wells, etc. and
common areas with live landscape materials shall be provided with adequate
irrigation.
b. The applicant or future leases shall be responsible to insure the live landscaping as
approved on the original landscape plan and installed is maintained in a "live"
condition.
C. An irrigated landscape corridor of at least 20 feet in width shall parallel the R/W of
US Highway 93 including undulating topography and have a mix of tree plantings
with a ground cover predominately of lawn. A similar 10-foot landscape treatment
shall be developed along the Bypass Corridor.
d. In developing the landscape plan, the developer shall comply with the definition of
landscaping as defined in the Kalispell Zoning Ordinance. Bark, mulch, rock, etc.
may augment live landscape features but the primary feature in all landscaping
treatments shall be growing materials unless specifically modified as in special cases
such as internal parking lot sidewalk corridors where trees would be in a protective
grate as they line a sidewalk and form a canopy.
e. Landscape islands within parking lots shall incorporate predominately living
materials. One exception would be the raised sidewalk corridors extending through
the parking lots as shown on the submitted December 29, 2010 Spring Prairie Center
site plan where trees within tree grates lining sidewalks is acceptable. Note that in
parking lot landscape islands, shade trees shall be placed in such intensity and
location as to form a canopy where they cover or line sidewalks and where ever they
are used, a visual break from the open asphalt parking areas surrounding it. The site
plan shows two shade trees at the ends of islands and 4 trees within internal islands.
This mayor may not be adequate depending on species selected.
f. The major landscape corridor extending north -south through the major tenant parking
lots shall include raised curb planters measuring approximately 18' x 36' or typically
4 parking spaces in size.
(Kalispell Subdivision Regulations, Section 3.11 and the Spring Prairie PUD)
12. The following requirements shall be met per the Kalispell Fire Department and so certified in
writing by the Fire Department: (Kalispell Subdivision Regulations, Section 3.20; Findings
of Fact, Section D).
a. Water mains designed to provide required fire flows shall be installed per City
specifications at approved locations. Fire flows shall be in accordance with
International Fire Code, Appendix B.
b. Fire hydrants shall be provided per City specifications at locations approved by this
department, prior to combustible construction.
C. Fire Department access shall be provided in accordance with International Fire Code
Chapter 5.
d. Street naming shall be approved by the fire department.
e. Addressing shall comply with the International Fire Code and Kalispell Fire
Department Standard Operating Guidelines.
f. Required fire flows shall be verified and approved by the Kalispell Fire Department
prior to combustible construction.
13. The applicant shall obtain the necessary permitting and approval letters from BPA certifying
that the subdivision is developed in accordance with BPA's requirements for development
within the 250 foot right-of-way. (Findings of Fact Section A)
14. All existing and proposed easements shall be indicated on the face of the final plat. Utility
easements for City water and sewer shall be provided to allow for the logical extension of
utilities from this subdivision to adjoining properties. A letter from the Kalispell Public Works
Department shall be obtained stating that the required easements are being shown on the final
plat. (Kalispell Subdivision Regulations, Section 3.18)
On -going, Conditions:
15. All areas disturbed during development shall be re -vegetated with. a weed -free mix
immediately after development.
16. Hazardous weed abatement shall be provided in accordance with Kalispell Municipal Code
section 10-8 and a note shall be placed on the face of the final plat stating that hazardous
weed abatement shall be provided in accordance with Kalispell Municipal Code section 10-8.
17. The preliminary approval for Phase 3 shall be valid for a period of three years from the date

2. Prior to any excavation or earthwork, a City Storm Water Management Permit shall be
approved and issued from the Kalispell Public Works Department. In accordance with
Ordinance 1600, the permit shall include a permit application, site map, narrative describing
the best management practices to be used and a completed checklist. In addition to the City
Storm Water Management Permit the developer shall submit a copy of the State General
Construction Storm Water Discharge Permit Notice of Intent (NOI) and Storm Water
Pollution Prevention Plan (SWPPP). At the time of final plat, the project engineer shall certify
that the development is in compliance with the approved City Storm Water Management

following additional development requirements for pedestrian facilities shall apply:
a. A pedestrian bike trail (a minimum of 10 feet wide) shall be constructed along the
entire US Highway 93 frontage. The bike path shall be integrally designed into the
landscape plan required between the curb line of US 93 and the 20 foot required
landscape buffer required by the PUD.
RESPONSE: The required pedestrian bike trail has been completed and accepted by the Parks
Department.
b. The sidewalk along Treeline Road shall integrate into and connect with the Highway
93 bike path and tie into the existing sidewalk on Treeline Road.

Dear Joel,
Following are items needing changes or further clarification for the above referenced project
prior to approval.
1. Lift station security fencing. During our May 2" `� conference call, we discussed whether
or not a building would be necessary for the lift station. The determination was, the lift
station is very small and will have a hot box style enclosure for the above ground piping
and controls, so a building would be unnecessary. However, a fence is still necessary.
The fence provides security for the lift station and the backup generator. The minimum
fencing required is a 6' chain link security fence, with a 10' wide gate. The ability for
vehicle access is required for maintenance and/or replacement of lift station, generator,
and related appurtenances.
2. Proposed pedestrian path. The proposed cross section provided in the plans meets the
City's minimum requirements for surfacing section. As the path will be constructed in
highway right-of-way, please verify minimum requirements for MDT are also met. A
right-of-way permit may be required from MDT for work and/or construction inside the
highway right-of-way.
3. Street lights. A street light is shown in the plan views for the project. Please add notes or
specifications indicating a FEC Standard 30' pole mounted on concrete pole Base. Pole
must be placed in the boulevard and provide a minimum of 2' of clearance behind curb
and 2' of clearance in front of sidewalk.
4. Culvert replacement. Culvert replacement will be required underneath Treeline Road.
The City is looking into possibilities for participation in the culvert upsizing.
5. Plat Conditions. Conditions remaining prior to Final Plat will need to be coordinated
through the Planning Department for approval.

After reviewing the information gathered for the completion status of Spring Prairie Center Phase III
I have found that all items contained in condition 12 of the preliminary plat approval have been met.
These conditions are as follows: Condition 12. The following requirements shall be met per the
Kalispell Fire Department and so certified in writing by the Fire Department: (Kalispell Subdivision
Regulations, Section 3.20; Findings of Fact, Section D).
a. Water mains designed to provide required fire flows shall be installed per City
specifications at approved locations. Fire flows shall be in accordance with International
Fire Code, Appendix B.
b. Fire hydrants shall be provided per City specifications at locations approved by this
department, prior to combustible construction.
C. Fire Department access shall be provided in accordance with International Fire Code
Chapter 5.
d. Street naming shall be approved by the fire department.

Department Standard Operating Guidelines.

This Letter of Consent is in response to the Galloway Engineering application on behalf of TKG
Spring Prairie Development Three, L.L.C. for your Spring Prairie Center Phase III project. This
letter replaces the letter dated November 29, 2007 to Goldberg Kalispell, L.L.C. This project
includes grading and excavation, concrete curbs and gutters, asphalt paving, landscaping (not
including trees), underground utilities and site lighting, which all impact the Bonneville Power
Administration's (BPA) 250 foot wide transmission line corridor. The proposed use will be
located in the NE'/4NE'/a of Section 36, Township 29 North, Range 22 West, Principal Meridian,
Flathead County, State of Montana as shown on the enclosed segments of BPA Drawing No.
138884 marked Exhibit A.
BPA has no objection to the construction and maintenance of the Spring Prairie Center Phase III
project (including grading and excavation, concrete curbs and gutters, asphalt paving,
landscaping (excluding trees), underground utilities and site lighting) provided our transmission
line facilities will not be adversely affected and subject to the following conditions:
1. All parking and vehicular activity shall remain a minimum of 50 feet from
where the steel lattice tower legs enter the ground.
2. The requested grade changes to facilitate construction shall be allowed. The
profile drawings reflect 31 to 32 feet of clearance are for a line catenary that
is not at full sag. Full sag is 5 feet below what is depicted on the drawings.
Although, the fill does meet BPA ground clearance of 25.5 feet, no
additional fill or disposal of overburden shall be allowed without written
permission from BPA.
No grading or excavation will be allowed within 50 feet from where the
steel lattice tower legs enter the ground (also called the Excavation Buffer
Zone).
4. From the Excavation Buffer Zone, a slope in the ratio of 2:1 or less shall be
maintained. An excavation drawing is attached as Exhibit B.
5. No grade changes to facilitate construction or disposal of overburden shall
be allowed.
6. Restore BPA's right-of-way to its original condition, or better following
construction.
7. Light standards located within the 250 foot wide corridor must be 15 feet in
height or less. No light standards are to be installed directly under any
conductors (wires). (Please provide this office with proposed locations of
light placement prior to construction.}
8. No interference or obstruction of access to transmission line structures by
BPA's maintenance crews will be allowed. BPA shall have the right to use
the parking area for access to its structures, for ingress and egress along its
transmission line right-of-way and for any necessary maintenance to the
transmission line or right-of-way.
9. Access to BPA transmission line structures must remain open and
unobstructed at all times. BPA approves the retaining wall as depicted in
the provided plans, as long as the walls are constructed at least 50 feet from
where the steel lattice tower legs enter the ground. There must also be at
least a 20 foot wide entrance to the structure for BPA vehicles to pass
through, with the grade of the road not to exceed 15 percent.
10. Construction equipment must stay a minimum distance of at least 15 feet
from the transmission line conductors. Do not measure this distance with
measuring tape, pole or other physical means.
11. Vegetation, including landscaping and trees, shall not exceed 10 feet in height,
obstruct access to structures, or be planted within 50 feet of any structure. Any
vegetation exceeding the height or obstruction limitation may be removed by
BPA.
12. There shall be no storage of flammable materials or refueling of vehicles or
equipment within the right-of-way.
13. Because of other potential uses in the area of your project, BPA requires
that you have a utility locate done prior to construction commencing.
14. Design and build the underground utilities, concrete curbs and gutters and
asphalt paving within the right-of-way to withstand HS-20 loading from
BPA's heavy vehicles. Buried utilities shall be marked as to where they
enter and leave the right -or -way and at all angle points within the right-of-
way.
15. All underground utilities must stay a minimum of 50 feet away from the
point where the closest steel tower leg enters the earth and be designed,
buried, and maintained to comply with NESC, national, state, and/or local
standards whichever is greater.
16. Nuisance shocks are common on high voltage transmission line rights -of -
way. Please plan your uses taking this into consideration.
17. To ensure safety of workers and uninterrupted operation of transmission
lines, applicant shall employ a BPA approved safety watcher during
construction activities occurring under the conductors (wires) or lifting of
equipment that may come in contact with the conductors (wires). Please
contact BPA at (406) 751-7800 for a current list of BPA approved Safety
Watchers.
18. BPA has identified counterpoise (grounding wire) located in the vicinity of
your proposed project. In order to maintain the functionality of this system,
every effort needs to be made to ensure that this is not broken or damaged.
Should counterpoise be dug up, exposed, or broken during your construction
activities, you need to contact our office immediately so that arrangements
can be made to have it repaired.
19. You agree to assume risk of loss, damage, or injury which may result from
your use of the right-of-way area, except for such loss, damage, or injury for
which BPA may be responsible under the provisions of the Federal Tort
Claims Act, 62 Stat. 982, as amended. It is understood that any damage to
BPA's property caused by or resulting from your use of the right-of-way
area may be repaired by BPA, and the actual cost of such repair shall be
charged against and be paid by you.
20. Damage to BPA property, resulting from your use, shall be repaired or
replaced by BPA at its option. The actual costs of such repair or
replacement shall be charged to and paid by you.
21. Please notify BPA if any modification of your proposed use occurs.

proposed use of the right-of-way and will modify our drawings accordingly.

I am pleased to inform you that construction of Spring Prairie Phase III has been
substantially completed; only a short list of warranty items remain (Attachment 1). Utility
installations are reflective of the `Public Work Approval Set" construction drawings
issued on May 20, 2013 and addenda sheets subsequently issued on June 24, 2013 and
July 3, 2013.
Required testing of water and sewer lines has been performed and passed. I herewith
certify that all installations were completed in compliance with the provisions of the City
of Kalispell "Standards for Design and Construction," current edition as well as pertinent
regulations of the State of Montana, Department of Environmental Quality.
In addition, I have reviewed the owner provided infrastructure costs for public
improvements (Attachment 2) and verify that the represented figure of $425,247.38 is
appropriate to the improvements being bonded for.

Exclusions From Coverage of This Guarantee.
The liability of the Company under this Guarantee to the
Assured shall not exceed the least of:
(a) the amount of liability stated in Schedule A or in Part 2;
(b) the amount of the unpaid principal indebtedness secured
by the mortgage of an Assured mortgagee, as limited or
provided under Section 6 of these Conditions and
Stipulations or as reduced under Section 9 of these
Conditions and Stipulations, at the time the loss or
damage assured against by this Guarantee occurs,
together with interest thereon; or
(c) the difference between the value of the estate or interest
covered hereby as stated herein and the value of the
estate or interest subject to any defect, lien or
encumbrance assured against by this Guarantee.
S. LIMITATION OF LIABILITY.
(a) If the Company establishes the title, or removes the
alleged defect, lien or encumbrance, or cures any other
matter assured against by this Guarantee in a reasonably
diligent manner by any method, including litigation and
the completion of any appeals therefrom, it shall have
fully performed its obligations with respect to that matter
and shall not be liable for any loss or damage caused
thereby.
(b) In the event of any litigation by the Company or with the
Company's consent, the Company shall have no liability
for loss or damage until there has been a final
determination by a court of competent jurisdiction, and
disposition of all appeals therefrom, adverse to the title,
as stated herein.
(c) The Company shall not be liable for loss or damage to
any Assured for liability voluntarily assumed by the
Assured in settling any claim or suit without the prior
written consent of the Company.
9. REDUCTION OF LIABILITY OR TERMINATION OF
LIABILITY.
All payments under this Guarantee, except payments made
for costs, attorneys' fees and expenses pursuant to Paragraph
4 shall reduce the amount of liability pro tanto.
10. PAYMENT OF LOSS.
(a) No payment shall be made without producing this
Guarantee for endorsement of the payment unless the
Guarantee has been lost or destroyed, in which case
proof of loss or destruction shall be furnished to the
satisfaction of the Company.
(b) When liability and the extent of loss or damage has been
definitely fixed in accordance with these Conditions and
Stipulations, the loss or damage shall be payable within
thirty (30) days thereafter.
11. SUBROGATION UPON PAYMENT OR SETTLEMENT.
Whenever the Company shall have settled and paid a claim
under this Guarantee, all right of subrogation shall vest in the
Company unaffected by any act of the Assured claimant.
The Company shall be subrogated to and be entitled to all
rights and remedies which the Assured would have had
against any person or property in respect to the claim had this
Guarantee not been issued. If requested by the Company,
the Assured shall transfer to the Company all rights and
remedies against any person or property necessary in order to
perfect this right of subrogation. The Assured shall permit the
Company to sue, compromise or settle in the name of the
Assured and to use the name of the Assured in any
transaction or litigation involving these rights or remedies.
If a payment on account of a claim does not fully cover the
loss of the Assured the Company shall be subrogated to all
rights and remedies of the Assured after the Assured shall
have recovered its principal, interest, and costs of collection.
12. ARBITRATION.
Unless prohibited by applicable law, either the Company or
the Assured may demand arbitration pursuant to the Title
Insurance Arbitration Rules of the American Arbitration
Association. Arbitrable matters may include, but are not
limited to, any controversy or claim between the Company
and the Assured arising out of or relating to this Guarantee,
any service of the Company in connection with its issuance or
the breach of a Guarantee provision or other obligation. All
arbitrable matters when the Amount of Liability is $1,000,000
or less shall be arbitrated at the option of either the Company
or the Assured. All arbitrable matters when the amount of
liability is in excess of $1,000,000 shall be arbitrated only
when agreed to by both the Company and the Assured. The
Rules in effect at Date of Guarantee shall be binding upon the
parties. The award may include attorneys' fees only if the
laws of the state in which the land is located permits a court
to award attorneys' fees to a prevailing party. Judgment upon
the award rendered by the Arbitrator(s) may be entered in
any court having jurisdiction thereof.
The law of the situs of the land shall apply to an arbitration
under the Title Insurance Arbitration Rules.
A copy of the Rules may be obtained from the Company upon
request.
13. LIABILITY LIMITED TO THIS GUARANTEE;
GUARANTEE ENTIRE CONTRACT.
(a) This Guarantee together with all endorsements, if any,
attached hereto by the Company is the entire Guarantee
and contract between the Assured and the Company. In
interpreting any provision of this Guarantee, this
Guarantee shall be construed as a whole.
(b) Any claim of loss or damage, whether or not based on
negligence, or any action asserting such claim, shall be
restricted to this Guarantee.
(c) No amendment of or endorsement to this Guarantee can
be made except by a writing endorsed hereon or
attached hereto signed by either the President, a Vice
President, the Secretary, an Assistant Secretary, or
validating officer or authorized signatory of the Company.
