Dear Susan,
This letter is to confirm our client's sincere interest in purchasing or exchanging for the
city owned property on the corner of Third Street West and Main Street in Kalispell for
the purpose of constructing a new bank facility for Valley Bank of Kalispell. This new
facility would not only benefit the clients of Valley Bank, but also the City of Kalispell
by infilling an empty lot on Main Street, creating new jobs during construction, and
adding a new facility to the tax roles. This construction would show a increasing level of
commitment to downtown. Kalispell. If Valley Bank of Kalispell was allowed to
construct a new facility at this location upon its completion they would demolish their
existing facility and create surface parking to be used by their own clients and visitors to
downtown Kalispell. Future hopes for the existing Valley Bank site would be to
construct a parking structure in partnership with the City of Kalispell and Glacier Bank.
This parking structure would be ideally located for downtown usage on First Avenue
West between Second and Third Street West.

THE VALLEY BANK OF KALISPELL, a State Bank, Grantor, in
consideration of Orie Dollar and other valuable Consideration, the
receipt of which is hereby acknowledged, grants to the CITY OF
KALISPELL, a municipal corporation, Grantee, the following
described real property in the County of Flathead, State of
Montana:
Lots 8, 9, 10, 11, 12, Block 55, Kalispell Original
Townsite, according to the map or plat thereof on file
and of record -n the office of the Clerk and Recorder of
Flathead county, Montana.
SUBJECT TO terms and conditions contained in Party Wall
Agreement dated May 11, 1901 executed by and between
Edward C. Knight and Carrie C. Knight, Walmsley R.
Twining, Charles D. Conrad and Alicia D. Conrad, recorded
October 4, 1922 in Book 165, Page 339, records of
Flathead County, Montana.
SUBJECT TO building encroachment of 0.6' as shown: on
Certificate of Survey No. 3790.
TO HAVE AND TO HOLD the said premises, with their
appurtenances unto the said Grantee, its heir and assigns forever.
Covenants and Restrictions;
1. Grantee shall use the property conveyed hereby only �Zjr
the purpose of operating and maintaining a surface
parking facility for a period of ten (10) years next
succeeding the execution of this Grant Deed. In the
event Grantee ceases to operate or maintain the parking
lot, Grantor, at its option, may declare the estate
terminated and may repurchase the property for One
Hundred and Sixty Thousand Dollars ($160,000.00).
2. At the termination of the tei. (10) year period designated
in paragraph 1, supra, the Grantee grants to Grantor the
option, for a period of two (2) years, to repurchase said
property for a sum to be determined by a qualified
appraiser agreed to by the Grantor and Grantee.
