SUBJECT: Resolution No. 5046 — Resolution of Authority to Purchase
Real Property at the Amended Plat of the Northwest
Portion of Gateway West Addition No. 34
MEETING DATE: Monday, August 15, 2005 — Regular Meeting
BACKGROUND: City Council previously approved the lease agreement with
Teletech Corporation for the leasehold of city owned property at the Gateway West
Mall. This leasehold agreement obligates the City to provide additional parking for
the tenant's employees at the point at which Teletech employs more than 250
employees. Teletech gave notice to the City several weeks ago of exceeding this
number of employees and the City therefore exercised its option with ACG-Kalispell
Investors, LLC to purchase, in partnership with the Flathead County Economic
Development Corporation, approximately two acres of undeveloped land in the
northern portion of the Gateway development. This lot has been platted and
approved by Council in a previous action.
RECOMMENDATION: That the Council authorize the payment of its portion of
the land purchase and authorize the Mayor execute the necessary legal documents
to complete the purchase
FISCAL EFFECTS: The City's portion of the purchase price is approximately
$156, 500.

RESOLUTION NO.5046
A RESOLUTION TO AUTHORIZE THE CITY TO PARTNER WITH THE FLATHEAD
COUNTY ECONOMIC DEVELOPMENT AUTHORITY TO PURCHASE REAL PROPERTY IN
THE GATEWAY WEST ADDITION NO. 34 FOR THE PURPOSES OF PROVIDING
ADEQUATE PARKING FOR ITS TENANTS.
WHEREAS, the City of Kalispell and the Flathead County Economic Development Authority own real
property and improvements at the Gateway West Mall in Kalispell and have a leasehold
agreement with Teletech Corporation in which the parties have agreed that additional
parking will be secured when the tenant exceeds 250 employees; and
WHEREAS, the City of Kalispell and the Flathead County Economic Development Authority entered
into an agreement to purchase real property with ACG-Kalispell Investors, LLC for the
purchase of approximately 2 acres in the amended plat of the Northwest Portion of
Gateway West Addition No. 34 for the total purchase price of $312,760.80; and
WHEREAS, the City of Kalispell and the Flathead County Economic Development Authority have
agreed to equally share in the costs of the land purchase and to hold the property as
cotenants with each entity holding an undivided one half interest; and
WHEREAS, it is in the best interests of the City to partner with the Flathead County Economic
Development Authority and complete the purchase of the above -described property for
the purposes of providing necessary parking to its tenants.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF KALISPELL

of purchase.
SECTION It. The Mayor is hereby authorized to execute all legal documents necessary to
complete the purchase of the above -described property.
