Enclosed you will find the following materials, all of which have been signed by Larry D. Geller,
President of Rosauers Supermarkets, Inc.:
1. An original of the Purchase Agreement by which RSI, L.L.C. would purchase Lot 2,
Daley Field Subdivision;
2. An original of the Development Agreement;
3. An original of the Restrictive Covenant;
4. An original of the Reciprocal Easement and Maintenance Agreement; and
5. A Certified Copy of Resolution of the Rosauers' Board of Directors.
Please cause the appropriate representative(s) of the City of Kalispell to sign these documents as
necessary, and thereafter deliver the appropriate materials, including the deed from the City of Kalispell
to RSI, L.L.C., to the title company for recording. By the time you deliver those materials, Rosauers
Supermarkets, Inc. should have wired to the title company those funds necessary to the closing. The
title company is authorized to release the sale proceeds to the City of Kalispell after RSI, L.L.C. is in
title, the restrictive covenants and reciprocal easements have been filed, and representatives of the City
of Kalispell have signed the purchase and development agreements.
