Box 1997 Kalispell, MT 59903-1997 Re: City of Kalispell Offer to Sell Lot 1, Daley Field Subdivision Kalispell, Montana Dear Sir: Whitefish Credit Union Association, Inc. (Purchaser) herewith submits the following offer to purchase the offered Lot 1, Daley Field Subdivision: The purchase price shall be $3.54 per square foot for the approximate 2.9 acre parcel. 2. Assuming the square footage is 129,808 square feet, the purchase price of $459,520.32 would be paid in cash at closing. 3. Closing will be completed within 90 days of the "award of sale". 4. Currently we contemplate a facility being completed by the end of 2006, not the Fall of 2004. One of the reasons for the additional time is the anticipation of the planned Highway 93 South construction being completed by that time to insure the best and most appropriate location of any building newly constructed on the lot. Purchaser reserves the right to sell the property at any time. The zoning as it currently exists will be modified to allow for the construction of a financial institution as a permitted use, assuming the zoning as it exists does not allow that as a permitted use. Resolution No. 4451 redefining the perimeter boundary of the landing field of the Kalispell City Airport must not interfere with or restrict structural improvements on the property as otherwise allowed by the zoning. 7. The "30' roadway easement" located within the north boundary of Lot 1 will be removed. 8. The airplane signs located on a pole at or about the northeast corner ofthe property will be removed. 9. Purchaser will not be obligated for sharing the costs of construction of the private road located between Lot 1 and Lot 2 as further defined in the Reciprocal Easement And Maintenance Agreement entered into on December 24, 1997, between the City of Kalispell and Rosauers Supermarkets, Inc. 10. There will be no late comer's fees or costs relating to the construction of sewer, or utilities to the property. 11. The City of Kalispell will accept environmental liabilities relating to the site if they become apparent at another date.
