THIS AGREEMENT is entered into this 2S- day of June, 2004, between the City of Kalispell
("CITY") and Q A kEl S—,r I f<o "Airport Manager".
The City of Kalispell is the owner of a tract of land that is used and operated as a general
aviation airport. The City Manager of Kalispell is tasked with being the manager of the airport
and he appoints an Airport Advisory Board to assist him in this duty by reviewing issues that
focus on the use of the airport and by making recommendations to the City Manager regarding
the management of the airport. The City Manager has determined, with the approval of the
Kalispell City Council that it is now suitable to contract for the services of an airport manager
with the necessary experience and expertise to act as an independent contractor and to properly
manage the day-to-day business of the airport on a part-time basis.
In this Agreement, the following terms shall have the following meanings:
Agreement -- this Contract for Services Agreement and any exhibits attached as may be amended
from time to time.
Agreement Term -- the term of this Agreement as provided below.
Approved Budget -- the budget for a Budget Period approved in accordance with the terms
herein.
Airport Advisory Board -- the board appointed by the City Manager to consider and provide
recommendations regarding issues affecting the Kalispell City Airport.
Capital Expenditure -- the cost of acquisition of, and additions and betterments to, the tangible
property of the Airport.
Commencement Date -- the date on which Contract Services are first performed.
Contract Services -- with respect to the Agreement Term, the airport management services to be
provided by Airport Manager, acting as an independent contractor for the benefit of the City,
pursuant to this Agreement.
Fiscal Year -- the 12-month period beginning July I and ending June 30.
Government Requirements -- federal, state, and local statutes, codes, ordinances, rules, orders
and other requirements.

Service Plan -- the plan describing the Contract Services Airport Manager is to provide during a
Fiscal Year.

2.01 Basic Scope of Services. Airport Manager agrees that throughout the Agreement Tenn,
Airport Manager, acting as an independent contractor for the benefit of the City, will provide
part-time Airport Management Services for all the day-to-day airport operations and
administration of the Kalispell City Airport. It is specifically agreed by both Parties that the
services and compensation covered by this contract are not sufficient to cover services which
would be required of an Airport Manager in preparation of or during any expansion of the airport
pursuant to FAA funding.
2.02 Property To Be Used. The Airport Manager shall provide all necessary office supplies and
equipment required for the function of the management services. In the event any equipment is
destroyed, wears out, or becomes obsolete, and the property is necessary for the provision of
Contract Services, the City shall not be required to replace it unless the Airport Manager
reimburses City for the actual cost of replacement.
2.03 Labor To Be Provided. Except as otherwise provided in this Agreement, Airport Manager
shall provide only his personal administrative and supervisory services ("Labor") necessary for
the performance of his duties as the part-time Airport Manager. The City will provide or contract
for all legal, accounting, professional, skills, trades, or other labor necessary, in its discretion, for
the operation of the airport. The Airport Manager will advise the City Manager of the need for
such other services necessary for him to satisfactorily perform his managerial duties.
2.04 Office Space to be Provided. The City will provide by January 1, 2005, by lease or
otherwise, a furnished office with the necessary communications installed, to be identified as the
Office of the City Airport Manager. If at all possible, this location shall be on the airport proper.
2.05 Force Majeure Occurrences.
(a) The failure of Airport Manager to perform, in whole or in part, any of the Contract
Services, by reason of the occurrence of fire, flood, explosion, disaster, strike or labor work
stoppage, or any other cause beyond the reasonable control of Airport Manager, to the extent the
failure is beyond the reasonable control of Airport Manager ("Force Majeure Occurrence"), is
excused for all purposes.
(b) In the event of a Force Majeure Occurrence, Airport Manager shall provide modified
Contract Services as are practicable. The adjustments shall be made only with the prior approval
of the City (the approval, if oral, shall immediately be confirmed in writing).
3.01 Managerial Control. Airport Manager is an independent contractor for, and not an agent or
employee of, the City. Airport Manager shall have managerial control over all aspects of the
airport operations. All personnel operating on the airport shall be subject to the direction and

control of the Airport Manager, with the exception of law enforcement, fire and emergency
officials. The City, with communication to and coordination with the Airport Manager, may
contract for the performance of work or the provision of equipment or facilities deemed
necessary or desirable for the operation of the City Airport. All such services will be contracts of
the City, approved by the City Manager within the constraints of the airport budget.
3.02 Both parties agree that this contract is adequate to fund part-time managerial services for
normal airport operations only (See 2.01 above). Therefore, Airport Manager agrees that
throughout the Agreement Term, he shall (a) devote an adequate amount of time to the
performance of his responsibilities as may reasonably be required within the limits of the hours
allotted under this contract for the effective performance of his duties, and (b) be available at
reasonable times to consult with representatives of the City with respect to matters relating to the
Contract Services.
3.03 Employees and Agents. Airport Manager and the City acknowledge that, and agree to advise
their respective officials, their management personnel, employees and agents as have
responsibilities directly relating to the provision of Contract Services, that none of their
respective officials, employees or agents is, or is authorized to hold himself out or claim to be, an
official, employee or agent of the other Party. No official, employee or agent of either party shall
be authorized, by reason of this Agreement, to make any claim, demand or application to or for
any right or privilege to which any officer, employee or agent of the other Party may, by reason
of his/her position be entitled, including, but not limited to, rights and privileges concerning
workers' compensation and occupational disease coverage, unemployment compensation
benefits, social security coverage or retirement system membership or credit.

4.01 Revenue Collection. Airport Manager will not act as a collection agent for the City as to
Airport fees and lease payments. However, Airport Manager agrees to provide the City Finance
Department with an updated list of all fees and leases needing to be invoiced for the collection of
revenues on the airport property. This list will be provided on the first of each month to the City
Finance Department. Airport Manager will not be required to send out the billing statements to
the airport users as that task shall be undertaken by the City. However, the Airport Manager will
assist, if necessary, in the verbal notification to users or lessees of arrears on their accounts to the
City. Airport Manager also agrees to deposit all revenues that might be given to him with the
City Finance Department within 72 hours of receipt.
4.02 Annual Budget.
(a) Prior to March I" of each year during the Agreement Term, the Airport Manager will
submit to the City Manager, after consultation with the Airport Advisory Board, a Service Plan
based on the objective outlooks for the airport. This Service Plan will take into consideration
budget constraints and projects the Airport Manager and the Airport Advisory Board can
reasonably envision for the planning period. The Service Plan shall be attached to and become an
integral part of this Agreement.

(b) Prior to April 1 of each year during the Agreement Term, Airport Manager shall
prepare and submit to the City a budget ("Proposed Budget") for the Budget Period. The Airport
Manager shall consult with the Director of Community Development during this process to
determine the import of the Airport Tax Increment Financing District upon the Airport Budget.
The Proposed Budget shall (1) be consistent with the Service Plan, (2) specify in dollars the
Expense Limits for the Budget Period, (3) include Airport Manager's best estimate of Airport
Revenue for the Budget Period, (4) specify budget assumptions used in developing the Budget,
and (5) specify additions to the Budget.
(c) The Proposed Budget shall reflect actual operations and levels of service during the
immediately preceding Fiscal Year except as modified by the Service Plan or any Fee Change
during or subsequent to that year.
(d) The Budget shall then be presented by the City Manager to the Kalispell City
Council, which shall determine the Final Budget by Resolution as a part of the whole City
Budget.
(e) The Approved Budget dated the date of execution of this Agreement for the part of
Fiscal Year 2003-2004 beginning on the first day of the first month after execution of this
Agreement shall be the Approved Budget for that period, and that period shall be the Budget
Period for Fiscal Year 2003-2004.
4.04 Compensation, or Contract Services.
(a) The City agrees to pay to Airport Manager, and Airport Manager agrees to accept in
full payment for providing the Contract Services, an amount ("Compensation") equal to $25.00
per hour, not to exceed approximately 900 hours for the Fiscal Year 2004-2005. No taxes will be
withheld, nor any benefits paid from said compensation.
(b) Beginning the first of each month after the date of this contract, the Airport Manager
will invoice the City for Contract Services provided during the preceding month. The invoice
will detail the hours spent during the month. The City shall pay the invoice by the 15th of the
succeeding month.
(c) The Airport Manager will schedule his time to best utilize the hours allocated to this
contract and shall report regularly (monthly) to the City Manager about the tasks accomplished
and progress made on the service plan (see 5.01 below). The total hours covered by this Contract
(990) will not be exceeded without prior written approval of the City Manager.
4.05 Travel Expenses. Whenever the Airport Manager is required to travel outside of the City
limits to attend meetings, conferences or negotiations, the Airport Manager will be reimbursed
for all travel expenses at the same rate as City officials for the City of Kalispell. These
reimbursements will not be considered part of the compensation listed in 4.04(a) above. Such
trips shall be pre -approved by the City Manager to be eligible for reimbursement.
4.06 Capital Expenditures. Except as otherwise provided by this Agreement, neither the City nor
Airport Manager shall be obligated under this Agreement to make any Capital Expenditure. A
failure of Airport Manager to perform any part of the Contract Services because the performance
has been made impossible by the failure of either party to make a Capital Expenditure shall be
excused, provided, however, that:
(1) Airport Manager continues to perform the Contract Services to the extent then
possible; and
(2) the necessity for the Capital Expenditure was not caused by the intentional or
criminal conduct of Airport Manager.
(a) an income and expense summary setting forth an itemized listing of all expenses and
income associated with airport operations. The City Finance Department shall cooperate with the
Airport Manager in providing the necessary information.
(b) a statement setting forth actions taken on delinquent accounts by the City and
recommendations for action by the Airport Manager.
(c) a narrative setting forth progress made on the activities identified in the Service Plan.
5.02,4nnual Reports. Within 15 days after the end of each Fiscal Year any part of which is
included in the Agreement Term, Airport Manager shall deliver to City a consolidated annual
report including a narrative summary describing how the Service Plan was addressed during the
year.
5.03 Event Reports. After the occurrence of any of the following events, Airport Manager shall
cause the City to be notified as specified below:
(a) Upon the occurrence of death or serious bodily injury to any person arising in
connection with the Contract Services, or of damage or destruction exceeding $500.00 to
property used in providing the Contract Services, the Airport Manager shall provide oral notice
to the City as soon as reasonably possible after he learns of such event. This oral notice shall be
followed by written notice as soon as practicable.
(b) Upon the occurrence of the service upon Airport Manager by any federal, state or
local government or government agency of a petition, complaint or notice which asserts that
Airport Manager, in the provision of Contract Services, is in violation of any law or regulation,
Airport Manager shall supply a copy of the document to the City by the earliest of: (1) 10 days
after service; (2) 48 hours before the petition, complaint or notice is scheduled to become
effective; or (3) 48 hours before expiration of Airport Manager's time to respond to the petition,
complaint, or notice.

5.04 Access to Records and Additional Information.
(a) Airport Manager shall provide to the City information relating to the Contract
Services as may reasonably be requested by the City.
(b) Either Party shall have the right to inspect and, except with respect to working
papers, obtain copies of the books, records, or any other written or otherwise recorded
information of the other Party relating to the Contract. Unless agreed otherwise, the inspections
shall be during normal business hours and at the place where the information is normally kept.
The inspecting party may supervise the making of any copies of documents it requests and shall
pay the reasonable costs of the copying.
(c) This Section shall not be applied or construed to: (1) limit any right either Party may
have under law to have counsel or to conduct audits or inspections, or to obtain information or
access to records; (2) authorize either Party to inspect or copy information unrelated to this
Agreement; (3) waive or diminish any privilege of nondisclosure under Montana or federal law;
(4) require disclosure of any communication with, by or prepared at the request of an attorney
and relating to a matter in which the attorney is serving or being consulted in his capacity as an
attorney; (5) require disclosure of any communication concerning preparation for anticipated
negotiations or concerning actual negotiations with the other Party.
5.05 Estimated Capital Expense Projections. Annually, at the request of the City Manager during
the Agreement Tenn, Airport Manager shall prepare and deliver to the City a projection in a
form mutually acceptable to Airport Manager and the City of Capital Expenditures, ranked by
priority, deemed necessary or advisable by Airport Manager with respect to the operation of the
airport during the next Fiscal Year.
5.06 Retention of Records. Airport Manager shall maintain and preserve any supporting records
necessary in the performance of his managerial duties.
5.07 Customer Complaints. Airport Manager shall have a procedure for the receipt and recording
by the Airport Manager of customer complaints received in person, in writing or by telephone
with respect to the Contract Services. Within 15 days after the end of each calendar month
included in the Agreement Term, Airport Manager shall deliver to the City a narrative describing
these complaints. Airport Manager shall make available for inspection by the City all written
complaints received, and the records of Airport Manager upon which the statement required by
this Section was based.
5.08 Additional Reporting Requirements. The Parties may at any time during the Agreement
Term, agree on reasonable changes in the content or form of any report required under this
Article.

6.01 Compliance With Laws.
(a) Unless otherwise agreed by the City, Airport Manager will, in the provision of
Contract Services comply with valid and applicable Government Requirements.

(b) Airport Manager will give prompt notice to the City of any proceeding which might
result in its incurring any Capital Expenditures or expenses not provided for in an Approved
Budget, the necessity for which expense or Capital Expenditure is caused by a newly instituted
Government Requirement or enforcement of a Government Requirement which had not
previously been enforced, and shall timely offer to the City the opportunity to contest the validity
and applicability of the Government Requirement.
6.02 Compliance With Agreements. Airport Manager will comply with the provisions of existing
leases, contracts and agreements to which the City is a party and which are material to the
operations of the airport. Airport Manager shall not, without the prior written approval of the
City Manager, enter into, renew, fail to renew, modify or terminate any such contracts, leases or
agreements if it will impair the performance by Airport Manager of the Contract Services or
material reduction in Contract Services Revenues.
6.03 Representations and Warranties. Airport Manager represents and warrants to the City that
none of the reports, summaries, financial statements or other written information famished by
Airport Manager to the City in connection with this Agreement and none of the reports,
summaries, financial statements or other written information that shall be famished by Airport
Manager to the City pursuant to the provisions of this Agreement or the Prior Agreement,
contains or will contain any untrue statement, misrepresentation or omission of a material fact.
6.04 Compliance with Environmental Protection and Safety Laws. Airport Manager agrees that,
with respect to the Contract Services, he will comply with all applicable Govemment
Requirements enacted or adopted according to law relating to the protection of the environment.
Airport Manager agrees that it will comply with the provisions of general or special orders, rules
or regulations issued by the FAA.
7.01 Notice. Airport Manager shall, promptly after gaining knowledge of, notify the City of the
assertion against Airport Manager or the City by any person or entity of any injury or property
damage claim or liability arising out of the provision of the Contract Services and the expense
for which Airport Manager intends to seek reimbursement. The City shall, promptly after gaining
knowledge of, notify the Airport Manager of the assertion against Airport Manager by any
person or entity of any injury or property damage claim arising out of the Contract Services
operations.
7.02 Defense of Claims. The City shall investigate and dispose of all Claims and Airport
Manager shall cooperate with the City in each such investigation. Airport Manager shall give
prompt notice to the City of the assertion of each Claim and shall provide to the City any
documents and information which the City reasonably may request in the circumstances. At such
time as an attomey's lien or a lawsuit is filed with respect to any Claim, Airport Manager shall
tender defense of that Claim to the City upon its request.
7.03 Indemnification. The City assumes liability for and agrees to hold harmless, defend and
indemnify Airport Manager and Airport Manager's successors, assigns, officers, directors,

employees, agents and servants against all liabilities, obligations, losses, damages, penalties,
judgments, settlements, claims, actions, proceedings, expenses and disbursements, including
legal fees and expenses, of whatever kind, imposed on, incurred by or asserted against Airport
Manager or any of Airport Manager's successors, assigns, officers, directors, employees, agents
and servants, in any way relating to or arising from any injury to any person, loss of life or
damage to property of any person arising out of any aspect of this Contract for Services,
provided that the injury, loss of life or damage to property is found not to have been caused by
the intentional or reckless acts of Airport Manager. It is understood by both parties to this
contract that this representation by the City forms a critical and absolutely necessary part of this
agreement. Airport Manager is relying upon this provision in entering into this agreement with
the City. Any such accrued obligations under this section shall survive the termination of this

Article VIH -- Agreement Term
8.01 Duration. T4 term of this Agreement ("Agreement Term") shall commence on

(b) the date, if any, as of which this Agreement is terminated by the City or Airport
Manager pursuant to the terms set forth below.
8.02 Effect of Termination. Upon the termination of the Agreement Term, all rights and
privileges of Airport Manager and the City under this Agreement shall cease, and neither Airport
Manager nor the City shall have any further obligations to the other under this Agreement,
provided that the termination shall not affect or discharge any claims, indemnifications, benefits
or rights of Airport Manager or the City which shall have accrued, or which are based upon acts,
omissions to act or events which shall have occurred, during the Agreement Term.
9.01 Right to Terminate.
(a) The City may, by written notice to Airport Manager, terminate this Agreement in the
event the overall level, safety or quality of the Contract Services is materially impaired as a
result of the breach or failure of compliance by Airport Manager of or with any of the provisions
of this Agreement and Airport Manager fails to cure the impairment within 45 days after written
notice by the City and stating its intention to terminate. Termination pursuant to this Section
shall not become effective during the pendency of proceedings involving issues underlying the
City's asserted right to terminate in a particular case.
(b) Because this contract is for personal services, the Airport Manager may by written
notice to the City Manager, terminate this contract at any time during its term. In the event
Airport Manager does terminate this agreement prior to the end of its term, section 8.02 above
will apply.
9.02 Nonwaiver and Pursuit of Other Remedies. Section 9.01 above is not intended to waive or
limit any other remedy available to either Party under this Agreement. The failure of either Party

to insist at any time upon the strict observance or performance of any of the provisions of this
Agreement or to exercise any right or remedy provided for in this Agreement, shall not impair
the right or remedy nor be construed as a waiver or relinquishment of the right or remedy.
10.01 Limitation ofRights. The City shall have no obligation or duty to any person to make any
of the inspections, audits or examinations which the City may have the right to make under this
Agreement or otherwise. These rights are for the sole benefit of the City and neither Airport
Manager nor any other person shall rely on the City's exercise of, or failure to exercise, any of
the rights. This Agreement is not intended to and shall not be construed to create any rights in
any person or entity not a party to this Agreement.
10.02 Nonwaiver. In no event shall the payment or receipt of any money under this Agreement
by the City or Airport Manager constitute a waiver by the City or Airport Manager of any breach
of covenant or of any default on the part of the other under this Agreement which may then exist,
and the making or receipt of any payment under this Agreement while any such breach or default
shall exist shall in no way impair or prejudice any right or remedy available in respect to the
breach or default. Neither the City nor Airport Manager shall be deemed to have waived any
right under this Agreement unless the waiver is in a writing signed by one of its respective
authorized officers. No delay or omission in exercising any right under this Agreement shall
operate as a waiver of the right or other right. All the rights and remedies of the City and Airport
Manager under this Agreement shall be cumulative and not exclusive and may be exercised
singly or concurrently. The waiver or exercise of any remedy shall not be construed as a waiver
of any other remedy available here or under general principles of law or equity.
10.03 Noncollusion. Airport Manager warrants and represents that it has not paid and agrees not
to pay any bonus, commission, fee or gratuity to any employee or official of the City for the
purposes of obtaining this Agreement. No officer or employee of the City shall be admitted to
any financial share of this Agreement or to any direct or indirect financial benefit arising from
this Agreement.
10.04 Successors and Assigns. All covenants, agreements, representations and warranties in this
Agreement made by or on behalf of Airport Manager or its subsidiaries or by or on behalf of the
City shall bind and inure to the benefit of the respective successors and assigns of the parties.
10.05 Notices. Any written notice required or permitted by this Agreement may be delivered by
depositing it in the United States Mail, postage prepaid, addressed to the City at P.O. Box 1997,
Kalispell, MT 59903, and to Airport Manager at 13,44-rkLo 54AQ,,r /Iz4Lj� f j4-1— or
at such other address as either party may designate in writing. Z;I-ry f
10.06 Governing Law. This Agreement shall be construed in accordance with and be governed
by the laws of the state of Montana.
10.07 Assignment. Airport Manager agrees that this Agreement shall not be assigned or
transferred without the written consent of the City and that any successor to Airport Manager's
rights under this Agreement will be required to accede to all of the terms, conditions and

requirements of this Agreement as a condition precedent to succession. Airport Manager agrees
that any purported assignment of this Agreement without the consent of the City is null and void.
10.08,4mendment. The Parties agree that no change or modification to this Agreement shall be
of any effect unless the amendment is dated and is reduced to a writing executed by both Parties.
10.09 Severability. The Parties agree that if any provision of this Agreement shall be held invalid
for any reason whatsoever, the remaining provisions shall not be affected if the remaining
provisions could continue to conform with the purposes of this Agreement and the terms and
requirements of applicable law. If such a holding of invalidity deprives Airport Manager of the
Compensation provided here, Airport Manager may by written notice to the City elect to
terminate this Agreement.
10.10 Titles and Precedent. The Parties agree that the titles of the Articles and Sections of this
Agreement are inserted for convenience only and shall not be considered for any other purpose.
This Agreement or anything done in connection with this Agreement shall not be considered
precedent for any future agreement which may be entered into between the Parties.
10.11 Documents Forming This Agreement. The Parties agree that this Agreement constitutes the
entire agreement between the Parties pertaining to the subject matter here, that there are no
agreements or understandings, except as set out specifically in this Agreement and that all prior
and contemporaneous agreements and understandings in this connection are merged into and
contained in this Agreement. No covenant or condition not expressed in this Agreement shall
aMct or be effective to interpret, change or restrict this Agreement.

12. Coordinate and develop fire and crash rescue plans with Kalispell Fire
ud Police departments.
14. Prepare special short term (temporary) license for Chuck Maming, etal
which will expire when new construction starts. This will be in exchange for
an easement behind their properties.
17. Work on getting hangar construction criteria passed by the City Council
to provide guidance for the Building Department.

19. Work on land purchase deals that come available and are within Airport
