HISTORY & ORGANIZATION
Health Spectrum has evolved from several service levels. In 1975, Computran Systems, Inc. was founded by Werner G,
Nistler, Jr. to provide data processing services to the healthcare industry. By 1986, Computran had four divisions and 600
customers in 45 states. In April 1986, three divisions, Cook -Ware, MasterChart and the financial service bureau, were
spun off to the new organization, DYNATRAN Computer Systems.
In 1982, MediForm Printers & Publishers, Inc. (laterMEDICAL EXPRESS) was founded by Werner G. Nistler, Jr. and Thomas
L. Biel to provide forms and educational materials, which has evolved to also provide niche medical supplies and durable
medical equipment.
In late 1987, the separate companies, MEDICAL EXPRESS and DYNATRAN were merged to form Health Spectrum, Inc.
(HSI) with MEDICAL EXPRESS providing medical supplies, equipment and educational materials and DYNATRAN
providing software and service bureau services, all under the Health Spectrum product and service umbrella.
In August 1995, HSI sold DYNATRAN to Omnicare. Omnicare is the leading institutional pharmacy for long-term care and
will promote DYNATRAN's MasterChart program throughout the United States. HSI Computer Systems will develop
business software and kiosks while the MEDICAL EXPRESS division continues to develop and market information systems,
DME, furnishings, loose durables and specialty healthcare products.

MEDICAL EXPRESS is currently servin ` over 6,000 healthcare facilities in all 50 states. HSI Computer Systems
offers new software and kiosk products that serve broad business needs in and outside healthcare.

graphics services, diet tray cards, and many other innovative products.

Waterford At All Saints

HISTORY & ORGANIZATION
In April 1994, Touchmark' Living Centers, Inc. (TLC') secured a parcel of land in the heart of Sioux Falls to construct a niulti-
phase Continuing Care Retirement Community (CCRC). The property is ideally I ocated between McKennan and Sioux Valley
hospitals and near shopping, public transportation and churches. In May 1994, Waterford At All Saints was formed with cash
investors as limited members and TLC as the managing member.

Construction began in May 1994, including the refurbishment of two historic structures: the original All Saints School, which
was built in 1884, and the 1914 classroom. Phase I consists of 117 apartment homes with 40 varying floor plans of independent
apartment homes and assisted living apartment homes. Phase 11 has 19 additional apartment homes and the healthcare center
which consists of additional assisted living services and nursing services. The Bishop's House, which contains I I homes,
opened on November 15, 1995. The Phase I Grand Opening was June 27. 1996.
Phases II and III will add approximately 163 homes, bringing the total number of homes to 280, and will comprise several
levels of care and services ranging from independent living to skilled healthcare facilities. Common space includes three

dining rooms, grocery store, bank, exercise area, woodworking shop, barber and beauty salon, medical monitoring and therapy
areas, library, theater, chapel and lounges.

Three Fountains is a skilled nursing and rehabilitation center located in Medford, Oregon. Three Fountains was developed
and constructed by Mr, & Mrs. Alfred Paulson and began operation in 1974 with 156 beds. Shirley Incre, the administrator, has been
with Three Fountains since its inception. Shirley is a Certified Fellow in the American College of Health Care Administrators,
Since January 1, 1994, Three Fountains has been owned and operated by Touchmark' Living Centers, Inc. (TLC').
Three Fountains participates with Medicare and Managed Care programs and has the ability and desire to meet the many emerging
needs in today's ever -changing healthcare community. We have developed a strong therapy department alone, with professional
nursing specialty areas to meet the needs of post -acute and rehabilitation patients. We admit 24 hours a day, seven days a week. Three
Fountains staff works as a team trained to meet the individual needs of the patient and/or resident.

In November, 1988, the land use approvals were obtained. Waterford on South Hill, a limited partnership consisting of cash
investors as limited partners and TLC as the general partner, was formed.

In January, 1989, the 13.3 acres for Phases I and 11 were purchased. Phase I consists of 163 apartment and cottages, with 16 varying
floor plans. Phase 11 has 12 additional attached homes and the healthcare center which consists of assisted living, Alzheirner's care
apartments, and skilled nursing services. In July, 1989, an additional parcel of 6.6 acres was purchased forPhase III which will Consist
of independent living homes.

The current 295 living units, Including 57 nursing beds, comprise several levels of care and services ranging from independent
livin- to skilled nursina and rehabilitation care. Independent cottages feature individual garages, yards and fireplaces. The
main buildinc, has nine penthouse apartments. Common areas include five dining rooms, convenience store and pharmacy,
bank, exercise areas, woodworking shop, ice cream parlor, deli, barber and beauty salon, medical monitoring and therapy
areas, spa, whirlpool therapy tub, library, theater, chapel and lounges. We have developed a stroner therapy department to meet
the needs for rehabilitation and sub acute patients' needs.

Crestview is a premier all private post -acute and rehabilitation center located in the West Hills of Portland. Crestview began
operations in 1964 and is licensed for 127 skilled beds. Jean Glanz has been with Crestview since its inception. In 1988, as
a tribute to her success, Jean received the American College of Health Care Administrators "Distinguished Administrator"
award for the entire United States. Jean has been preceptor to many trainees including Jeff Bair; current administrator. Jeff
came to Crestview three years ago as a licensed Speech/Language Pathologist with eight years experience in the hospital and
lonc, term care environments. While Jean Glanz now holds the title of Associate Administrator, she remains active in the daily
operations of Crestview and continues to train new administrators. Since March of 1987, Crestview has been owned and
