Assignment of Land Purchase OptionASSIGNMENT OF LAND PURCHASE OPTION KNOW ALL MEN BY THESE PRESENTS: That the undersigned, CITY OF KALISPELL, a municipal corporation organized and existing under the laws of the State of Mcntana, P.O. Box 1997, Kalispell, Montana 59901-1997 hereinafter ASSIGNOR, for and in consideration of the sum of One Thousand and Five Hundred Dollars ($1500.00), in hand paid, the receipt and sufficiency of which is hereby acknowledged, and other good and valuable consideration, hereby gives and grants to WAREHOUSE INDUSTRIES, INC., a Washington Corporation-- dba TIDYMAN'S, 17515 Appleway, Greenacres Washington 99016, hereinafter called ASSIGNEE, all ASSIGNOR'S right, title, and interest in that certain LAND PURCHASE OPTION dated the 2nd day of July, 1991, executed by Thomas Printing, Inc., a Montana Corporation, wherein Thomas Printing, Inc. granted to the ASSIGNOR and ASSIGNEE an irrevocable option to jointly purchase for the sum of Two Hundred Sixty Thousand Dollars ($260,000.00) all that lot, tract, or parcel of land and premises with the buildings and improvements located thereon, owned by Thomas Printing, Inc., and more particularly described as follows: Lots One (1), Two (2) and Three (3), Block 24, Kalispell Original, Kalispell, Montana, according to the map or plat thereof on file and of record in the office of the Clerk and Recorder of Flathead County, Montana. ASSIGNMENT - Page 1 of 4 1) The purpose of this ASSIGNMENT is to allow ASSIGNEE to obtain from Thomas Printing, Inc. fee simple interest in the above described real property, together with the improvements located thereon. The execution of this ASSIGNMENT by the ASSIGNOR or acceptance of this ASSIGNMENT by the ASSIGNEE evidences no commitment, express or implied, on the part of the ASSIGNOR to perform any act or commit any moneys for the purchase of improvements located on said property or provide relocation assistance to Thomas Printing, Inc., as anticipated in the LAND PURCHASE OPTION. 2) ASSIGNEES right to purchase said property from Thomas Printing, Inc. shall be subject to terms and conditions of the LAND PURCHASE OPTION, hereinbefore referenced. 3) Both ASSIGNOR and ASSIGNEE agree that any redevelopment of the property by the ASSIGNEE shall be subject to the Kalispell Downtown Redevelopment Ordinance (Ordinance No. 933, as amended), and in accordance with Title 7, Chapter 15, Parts 42 & 43, Montana Code Annotated (Urban Renewal Law). 4) ASSIGNOR covenants to ASSIGNEE that the LAND PURCHASE OPTION, hereinbefore referenced has, in accordance with its terms, been validly extended, so as to expire on the 9th day of August, 1991.
