IMPROVEMENT�5
The undersigned, as developer of Juniper Bend Development No.
1, a.k.a. Juniper Bend, a subdivision located in Kalispell,
Flathead County, Montana, does hereby undertake and agree to be
bound to the City of Kalispell, a political subdivision of the
State of Montana, to construct certain improvements described as:
Installation of auxiliary generator, automatic
transfer switch and alarm system.
in accordance with the plans and specifications on file with the
City, copies of which have been attached heretofore, and which are
by this reference incorporated herein. Said construction being a
condition of granting final plat on said subdivision on or about
June 11, 1993.
Said improvement is to be constructed and functional, per City of
Kalispell Public Works Department, within one hundred and twenty
(120) days of the execution of this Agreement.
Total estimated cost of said construction as established by this
Agreement is the sum of Thirteen Thousand Eight Hundred and Thirty
Two Dollars ($13,832.00). Completion of said construction shall be
guaranteed and secured by a Letter of Credit, issued by a First
Interstate Bank, N.A., in the amount of Seventeen Thousand Two
Hundred and Ninety Dollars ($17,290.00) as required by the City of
Kalispell Subdivision Regulations.
City of Kalispell shall inspect all work before it is covered or
concealed. In instances where the City inspection of a particular
items of said construction, or testing procedures for
functionability, as required, notice of time when said work will
be available for inspection or when such testing will occur shall
be given to the requesting official by telephone at least 24 hours
in advance of such time. It shall be the responsibility of the
representative of the City to be present at the noticed time or to
waive the right to inspect that work.
City of Kalispell shall provide for inspection of all required
public improvements by a registered professional engineer. Upon

satisfactory inspection of the improvements, the City of Kalispell
shall release Juniper Bend from this Agreement, subject to
satisfactory completion and inspection of any items of exception
noted by the City on previous inspections.
Juniper Bend does warrant to the City of Kalispell the design,
construction, material, and workmanship of the improvements against
any failure or defect in design, construction, material, or
workmanship which is discovered within one year of the date of
notification to the City of substantial completion of said
construction. Obligations and responsibilities under this paragraph
of the undersigned shall commence with substantial completion of
said construction contemplated by this Agreement. Substantial
completion shall be the date said construction is accepted as
complete, in writing, by the City.
The obligation of the undersigned under this warranty shall be
limited to the repair or replacement of defective work or material,
plus the restoration of any area or improvement disturbed during
the course of such repair or replacement. Should Juniper Bend fail
to fulfill this warranty by prompt repair or replacement of
defective work or material, the City of Kalispell shall have the
right to contract for such work to be performed at the expense of
Juniper Bend, and Juniper Bend agrees to pay the cost thereof on
demand.
As security for the commitments made by Juniper Bend under this
Agreement, Juniper Bend has obtained an Irrevocable Standby Letter
of Credit, issued by First Interstate Bank, N.A., Credit Number
2309600060, said Letter attached hereto and by this reference
incorporated herein.
In the event Juniper Bend does not complete said construction
within one hundred and twenty (120) calendar days of the date of
this Agreement, the City shall, on demand to said bank, be paid the
necessary funds to complete said construction. The City shall use
said funds to complete the construction remaining as of the date of
demand.
If the City of Kalispell determines that any improvements are not
constructed in compliance with the specifications, it shall furnish
Juniper Bend with a list of specific deficiencies and if said

deficiencies are not remedied, the City shall, on demand to said
bank, be paid the necessary funds to correct said deficiencies.
This Agreement supersedes and replaces any other Subdivision
Agreement heretofore in existence between Juniper Bend and the City
of Kalispell, with regard to the construction and installation of
the auxiliary generator system as described herein, only.
