The roll -cage type interior super -structure, aluminum partition and module shall all be welded together into a single unit to give optimum strength for patient and attendant protection. The framing will be made of 2"x2" .125" thick aluminum extruded box beams with the corners also made of extruded aluminum corners and outside roof members shall also be extruded of a rounded or angle style. The module roof shall be designed with a minimum 1.5" crown and a single sheet of .125 flat aluminum to facilitate water run-off. The floor, roof, sides, and all exterior doors shall be fabricated from .125" (minimum) thick flat aluminum sheet stock. ORDER TRANSMISSION and ACCEPTANCE Purchaser may order Product from Company only through Company's electronic quote/order system ("Quote/Order System"). To be valid for processing and to receive a quote from Company, the Purchaser must include (i) the signed Standard Terms and Conditions, (ii) the Product order specifications ( "Order Specification"). The Standard Terms and Conditions, the Order Specification, the Statement of Limited Warranty, and if applicable... the Liquidated Damages Agreement, the Customer Supplied Parts equipment checklist and any other document or agreement generated by the Company's Quote/Order System are collectively referred to herein as the "Purchase Agreement" ORDER SPECIFICATION Purchaser may convert any quote within the Quote/Order System into an order to produce Product by the Company for the Purchaser. Product will be manufactured only per the Order Specification for the Product as outlined within the Quote/Order System. Drawings are for visual reference only; in the case of discrepancy between the Order Specification and the drawings, the Order Specification will govern. Any change requested by Purchaser to the Order Specification (a "Change Request`) must be approved by Company within the Quote/Order System. Approval of a Change Request is subject to the nature of the change, timing and availability of materials/labor, the disruption such change may have on Company's operations, and an equitable change to the Purchase Price. Company may, from time to time, make changes to the Order Specification without the consent of Purchaser provided that such changes do not materially affect the form or function of the Product. Unless otherwise stated herein, Company shall not be responsible for switching, handling, loading, sorting, storage, demurrage, or any other transportation or peripheral charges. DELIVERY TIMES Quoted lead times and delivery expectations by Company are approximate and are based upon market and production conditions at the time of Purchaser's order for Product from Company. Purchaser agrees that Company shall not be liable for any delay in or failure to have the Product available for shipment in accordance with quoted lead times if such delay or failure is due to Force Majeure, delays from the chassis OEM, changes to Order Specifications, or any other circumstances or cause beyond Company's control. Quoted lead times and delivery expectations are not guaranteed unless specified in writing and executed by Company ("Liquidated Damages Agreement') attached hereto and incorporated by reference in the Purchase Agreement. Quoted lead times will be extended for approved change orders, delays from the chassis OEM and Force Majeure. DELIVERY & INVOICING Delivery occurs and risk of loss passes to Purchaser when Seller places the Product at the Delivery Point and at the disposal of Purchaser. In the event multiple Product is purchased, Company reserves the right to place the Product at the Delivery Point as each Product is ready. Upon completion of production and quality inspection by Company and the Product is declared ready for delivery, an invoice will be promptly generated by Company and forwarded to the Purchaser with a copy provided to Company's third party financing partner if applicable. FINANCING Purchaser will maintain a financing arrangement between Purchaser and a financial institution for the purpose of financing the purchase of Product from Company and facilitating the payment for these Products to Company. Financing arrangement must be of adequate credit limit to finance maximum number of Products that may be financed by Purchaser. Failure to maintain an adequate financing facility would result in payment being due immediately post invoice date. If Purchaser chooses a financing facilty other than the Company's third party financing partner, financing support and incentives will not be available. Purchase Agreement PAYMENT Payment via Company's third party financing partner... Company's thrid party financing partner shall pay the net invoice amount immediately and in full upon receipt of invoice or prior to shipment of Product (whichever first occurs) ( "Payment Due Date'). All payments are payable in U.S. Dollars, shall be made by wire transfer, and will be net of all floorplan and program incentives available to Purchaser at time of invoice. Payment via any means other than Company's third party financing partner... Purchaser shall pay the net invoice amount in full within five (5) business days from receipt of invoice or prior to shipment of Product (whichever first occurs) ("Payment Due Date'). All payments are payable in U.S. Dollars, shall be made by wire transfer or check. Purchaser agrees to pay interest on all amounts not paid by the Payment Due Date at a rate of four percent (4%) per annum over the the rate of interest last quoted by The Wall Street Journal as the "Prime Rate." If Company shall, in its sole discretion, deem itself to be insecure regarding Purchaser's ability to fulfill the terms of payment herein specified, whether due to Purchaser's financial condition or any other reason, Company may modify the credit terms herein, including full or partial payment in advance of delivery. If any tax, public charge, tariff, duty, or increase in such taxes or tariffs, is now, or shall be, assessed, levied, or imposed upon, or with respect to the sale of Product by Company to Purchaser or upon any sale, delivery, or other action taken under the Purchase Agreement, or if any change shall be made in the custom house or railway classification of such Product or in existing freight rates applicable thereto, the burden of such charge or change shall be home by the Purchaser. STATEMENT OF ORIGIN As collateral security for the payment of the Purchase Price of the Product, Purchaser hereby grants to Company a lien on and security interest in and to all of the right, title, and interest of Purchaser in, to, and under the Product, wherever located, and whether now existing or hereafter arising or acquired from time to time, and in all accessions thereto and replacements or modifications thereof, as well as all proceeds, including insurance proceeds, of the foregoing. The security interest granted under this provision constitutes a purchase money security interest under the Ohio Uniform Commercial Code. Chassis Manufacturer's Statement of Origin shall pass to Purchaser after payment to Company and/or Company's third party financing partner has cleared the bank. Payment includes any interest and other related costs and expenses to Company or to the Company's third party financing partner. INSPECTION & ACCEPTANCE Purchaser may inspect Product prior to shipment. Purchaser will be deemed to have accepted the Product unless it notifies Company in writing of any Nonconforming Product during the Fifteen (15) business days following the date of Delivery (`Inspection Period") and furnishes such written evidence or other documentation as may reasonably be required by the Company. "Nonconforming Product" means only the following: (i) Product shipped is different than identified in the applicable Purchase Agreement; (ii) the Product does not conform to the specifications listed in the applicable Order Specification, or (iii) on visual inspection, Purchaser reasonably determines that the Product is otherwise Defective. "Defective" means that the Product does not conform to the warranties set forth in the Statement of Limited Warranty. Nonconforming Product shall be held for Company inspection or disposition. SHIPMENT Shipping terms are EXW Company's facility, specified in the applicable Order Specifications, Incoterms® 2020 (the "Delivery Point`). All claims for damages incurred during shipment, whether to person or property, shall be made by Purchaser directly to its Carrier, including any claims arising from the failure of the Carrier to comply with federal, state and local weight and/or size limitations. In the event that USA Dealer Purchase Agreement_Rev4.0_2018-10-01 Page 24 of 27 Purchase Agreement DENIERS Company arranges for a Carrier to ship the Product to Purchaser, Purchaser acknowledges that such arrangement is for Purchaser's benefit and releases Company for any claims, whether to person or property, arising out of the loading or shipping of the Product sold. In the event multiple Product is purchased, Company reserves the right to make Product available in partial shipments. Company shall not be liable for any direct, indirect, consequential, special, or incidental losses or damages resulting from its delay in shipment. The transfer of the risk of loss for damage and responsibility shall remain as described in this agreement, even in the event the Purchaser mandates Company to appoint a local driver or transportation company to deliver a Product from the Delivery Point to a drop shipment point mutually agreed upon, in order to facilitate the physical transfer ofthe Product. If shipment is delayed by any cause other than by Company payment shall be due as if shipment had been made, storage shall be at the risk of Purchaser, and a daily fee of $75 will be charged for extended storage and insurance after Fifteen (15) business days following the date of Delivery. INSURANCE Prior to shipment, and unless the transfer of ownership to the Purchaser has been completed, Company shall be supplied with proof of insurance protecting against loss and physical damage to Product, naming Company as loss payee. Such insurance shall remain in full force and effect until such time as Company receives payment in full for the Product. NON -DELIVERY The quantity of Product as recorded by Company upon dispatch from Company's place of business is conclusive evidence of the quantity of Product received by Purchaser upon delivery unless Purchaser can provide conclusive evidence proving the contrary. Company shall not be liable for any non -delivery of Products, even if caused by Company negligence, unless Purchaser gives written notice to Company of the non -delivery within 10 days of the date when the Product would in the ordinary course of events have been placed at the disposal of Purchaser at the Delivery Point. Any liability of Company for non -delivery of the Product shall be limited to replacing the Product within a reasonable time or adjusting the invoice respecting such Product to reflect the actual quantity delivered. CANCELLATION Company may, in its sole discretion, and without liability or penalty, cancel this Product order if Company determines that Purchaser (i) fails to pay any amount due under the Purchase Agreement, (ii) has not otherwise performed or complied with any of the terms and conditions of the Purchase Agreement, in whole or in part, or (iii) becomes insolvent, files a petition for bankruptcy, or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization, or assignment for the benefit of creditors. Company's election to cancel Purchaser's Product order under such circumstances is in addition to, and not in lieu of, any other rights or remedies that Company may have at either law or equity or under these Standard Terms and Conditions and the Purchase Agreement. Prior to commencement of engineering, any cancellation of Product order will incur a $2,500 cancellation fee to the Purchaser. Once Company commences engineering, no cancellation of this Product order is permitted, and the full purchase price is due and payable to Company. Notwithstanding other provisions of this Agreement, and in addition thereto, Company shall be entitled to its reasonable and anticipated lost profit from such cancellation. FORCE MAJEURE Company shall not be liable or responsible to Purchaser, or be deemed to have defaulted or breached these Standard Terms and Conditions, for any failure or delay in fulfilling or performing any of these Standard Terms and Conditions when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Company including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic/pandemic, telecommunication breakdown, power outage, lockouts, strikes or other labor disputes (whether or not relating to either parry's workforce), restraints or delays affecting carriers, inability or delay in obtaining chassis from an original equipment manufacturer or other supplies of adequate or suitable components or materials at reasonable prices. DEFAULT /ATTORNEY'S FEES Purchaser is in default under the Purchase Agreement if any of the following occurs (except as prohibited by law): (i) Purchaser fails to perform any obligation that Purchaser has undertaken in the Purchase Agreement; (ii) Purchaser becomes insolvent, files a petition for bankruptcy, or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization, or assignment for the benefit of creditors; or (iii) Company, in good faith, believes that Purchaser cannot, or will not, pay or perform the obligations it has agreed to fulfill under the Purchase Agreement. If Purchaser defaults, or in the event Company brings an action or proceeding to enforce the terms hereof or declare rights hereunder, Purchaser agrees to pay Company costs for collecting amounts owing, including, without limitation, court costs, attorney's fees (for attorneys who are not our salaried employees), and fees for repossession, repair, storage, and sale of Product, all without relief from valuation and appraisement laws. REMEDIES If Purchaser is in default under the Purchase Agreement: (i) Company shall have all the remedies provided under the terms of the Purchase Agreement and under law: (ii) Company may require Purchaser to immediately pay Company, subject to any refund required by law, the remaining unpaid balance due ofthe Purchase Price; (iii) Company may require Purchaser to make the Product available to Company at a designated place that is reasonably convenient to each party; (iv) Company may immediately take possession ofthe Product by legal process or self-help, but in doing so Company may not breach the peace or unlawfully enter onto Purchaser's premises; (v) Company may then sell the Product and apply what it receives as provided by law to Company's reasonable expenses and then toward Purchaser's obligations; and (vi) except when prohibited by law, Company may sue Purchaser for additional amounts if the proceeds of a sale do not pay all of the amounts Purchaser owes to Company. By choosing any one or more of these remedies, Company does not waive its right to use another remedy. Any waiver by Company of a breach of a term or condition of the Purchase Agreement shall not be construed as a waiver of any other breach of any other term or condition, or a waiver of any similar future breach of the same tern or condition. CLAIMS Purchaser must exercise diligence in inspection of the Product received from Company to mitigate damages in the event of repair or replacement of Defective or Nonconforming Product. Claims (except for claims required to be made in accordance with the provisions contained in the section of these Standard Terms and Conditions under the heading "Shipmeer") must be made in writing to Company and Purchaser must give Company a reasonable opportunity to inspect the purported defect. If Product fails to conform to the applicable warranty given in the Statement of Limited Warranty, and if Purchaser has made a timely claim pursuant the terms of the Purchase Agreement including, without limitation, the Statement of Limited Warranty, then Company will honor the claim in the following manner: (i) Repairing the non -conforming part(s) ofthe Product; (ii) Replacing the non -conforming part(s) ofthe Product; or (iii) Issuing a return authorization and credit for the purchase price of the con -conforming Product. Such remedies shall represent and constitute the sole and exclusive remedy available to Purchaser for a breach of warranty (or other breach of contract) claim, tort claim (including negligence or strict liability), or any other claim with respect to the Product. The remedy shall be determined by Company in its sole and absolute discretion. USA Dealer Purchase Agreement_Rev4.0_2018-10-01 Page 25 of 27 I'/,7/I C DEMERS COMPLIANCt WITH LAWS Purchase Agreement Purchaser shall comply with all applicable law, regulations, and ordinances. Purchaser shall maintain in effect all the licenses, permission, authorizations, consents, and permits that it needs to carry out its obligations under the Purchase Agreement. NO WAIVER The failure of Company upon knowledge of any default or violation by Purchaser of any of the provisions of the Purchase Agreement to enforce its rights or remedies shall not be construed as a waiver of such default or violation, or of any provision hereof, or of any rights or remedies Company may have at law or in equity. LIMITATION OF LITIGATION Any controversy or claim of Purchaser arising out of or related to the Products and/or services provided hereunder must have accrued within the applicable warranty period, and then be commenced within 1-year after the cause of action has accrued. AMENDMENT AND MODIFICATION The Purchase Agreement and any individual component thereof may only be amended or modified in writing and executed by an authorized representative of both the Purchaser and Company. ASSIGNMENT Purchaser shall not assign any of its rights or delegate any of its obligations under the Purchase Agreement without the prior written consent of Company. Any purported assignment or delegation in violation of this Section is null and void. No assignment or delegation relieves Purchaser of any of its obligations under the Purchase Agreement. RELATIONSHIP OF THE PARTIES The relationship between Purchaser and Company is that of independent contractors. Nothing contained in the Purchase Agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever. NO THIRD -PARTY BENEFICIARIES The Purchase Agreement is for the sole benefit of the parties hereto and their respective successors and permitted assigns, and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of the Purchase Agreement. LIMITATION OF LIABILITY THE LIABILITY OF COMPANY ARISING OUT THE SUPPLYING OR SELLING OF THE PRODUCT, OR THEIR USE BY PURCHASER OR PURCHASER'S CUSTOMER, AND WHETHER BASED UNDER BREACH OF CONTRACT OR WARRANTY, IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR OTHERWISE, SHALL NOT IN ANY EVENT EXCEED THE PURCHASE PRICE OF THE PRODUCT. THE REMEDIES SET FORTH ABOVE SHALL CONSTITUTE THE SOLE AND EXCLUSIVE REMEDY OF PURCHASER AND THE SOLE AND EXCLUSIVE LIABILITY OF COMPANY WHETHER THE CLAIMS OF PURCHASER ARE BASED ON CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), OR OTHERWISE. UNDER NO CIRCUMSTANCES SHALL COMPANY BE LIABLE TO PURCHASER FOR ANY SPECIAL, C CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, WHETHER BASED UPON LOST GOODWILL, LOST RESALE PROFITS, WORK STOPPAGE, IMPAIRMENT OF OTHER PRODUCT, PROPERTY DAMAGE, LOSS OF USE, EXPENSES OF RECALL, OR OTHERWISE. ENTIRE AGREEMENT AND SEVERABILITY Except as otherwise agreed in writing, the Purchase Agreement (which includes the Standard Terms and Conditions, the Order Specification, the Statement of Limited Warranty, and if applicable... the Liquidated Damages Agreement, the Customer Supplied Parts equipment checklist and any other document or agreement generated by the Company's Quote/Order System) constitute the entire agreement between Company and Purchaser, superseding all prior quotations and understandings, oral or written. All such previous communications are hereby abrogated and withdrawn, and no stipulations, representations, or agreements by Company or its officers, agents, or employees shall be binding upon Company unless reduced to writing and attached to and incorporated by reference herein, and no local, general, or trade custom shall alter or vary the terns hereof If any provision hereof is determined invalid under applicable law, such invalidity shall be limited to such provisions without invalidating the remainder of the other provisions hereof. SURVIVAL Provisions of the Purchase Agreement that by their nature should apply beyond their terms and shall remain in full force and effect after any termination or expiration of the Purchase Agreement including, but not limited to, the following provisions: Governing Law and Venue, Payment and Title, Insurance, Remedies, Claims, Compliance with Laws, No Waiver, Limitation of Litigation, Limitation of Liability, and Survival. SIGNATURE The Purchase Agreement may be presented as an electronic record and accepted by an electronic signature, symbol, or process as permitted by the Ohio Uniform Electronic Transaction Act and the Federal Electronic Records and Signatures in Commerce Act, as applicable. An electronic signature of these Standard Terms and Conditions is considered a binding signature for the Purchase Agreement.
