We, Mark Johnson, Jarod Nygren and Aimee Cooke, hereby certify that we are on the date hereof
the duly qualified and acting Mayor (the `'Mayor"), Interim City Manager ("City Manager"), and Finance
Director ("Finance Director" and collectively with the Mayor and City Manager, the "City Officials") of
the City of Kalispell, Montana (the "City"), and, on behalf of the City, that:
1. The City Officials have executed with their true signatures as such officers the City's
(i) Special Improvement District Bond (Special Improvement District No. 348 (Green Acres Community
I.mprovement)), Subordinate Lien Taxable Series 2025A Bond (the "Series 2025A Bond"), dated as
originally issued, as of August 27, 2025 (the "Date of Issuance"), in the authorized principal amount of
$168,386,000, and (ii) Special hnprovement District Bond (Special Improvement District No. 348 (Green
Acres Community Improvement)), Tax -Exempt Series 2025B Bond (the "Series 2025B Bond," and
together with the Series 2025A Bond, the "Series 2025 Bonds"), dated as of the Date of Issuance, in the
authorized principal amount of $175,000. The principal installments of the Series 2025 Bonds mature on
the dates, bear interest at the rate and are substantially in the form, prescribed by Resolution No. 6274,
duly adopted by the City Council of the City on August 4, 2025, entitled "Resolution Creating Special
Improvement District (Green Acres Community Improvement) and Authorizing the Issuance of Special
Improvement District Bonds (Special Improvement District No. 348 (Green Acres Community
Improvement)) (1) Subordinate Lien Taxable Series 2025A Bond and (II) Tax -Exempt Series 2025B
Bond; Fixing the Form and Details and Providing for the Execution and Delivery Thereof and Security
Therefor" (the "Resolution").
2. No litigation is now pending, or, to the best of our knowledge, threatened (i) restraining
or enjoining the issuance or delivery of the Series 2025 Bonds, (ii) questioning the organization or
boundaries of the City or the right of any officers of the City to their respective offices, (iii) questioning
the right and power of officers of the City to deliver the Series 2025 Bonds, (iv) challenging the validity
of or security for the Series 2025 Bonds, the pledge of net revenues of the municipal sewerage system of
the City (the "System") to pay the principal of, premium, if any, and the interest thereon, or
(v) challenging the validity or enforceability of the Resolution.
3. The Mayor, the City Manager, and the Finance Director further certify that the signatures
shown below are the duly authorized signatures of the Mayor, the City Manager, and the Finance
Director. In such capacities the City Officials have been authorized to execute the Series 2025A Bond in
the original aggregate principal amount of $168,386 and the Series 2025B Bond in the original principal
amount of $175,000. The signatures subscribed to this certificate are the proper signatures of such City
Officials, respectively, all facsimile signatures affixed to the Series 2025A Bond and the Series 2025B
Bond are true and correct engraved, printed or stamped facsimiles of the proper signatures of the
undersigned City Officials, and a duplicate original of this certificate has been filed with the City official
having the duties of City Clerk in accordance with the provisions of Montana Code Annotated, Section 2-
16-114(2).
