A RESOLUTION AUTHORIZING THE SALE OF LOTS 1 THROUGH 12, BLOCK 23, KALISPELL
ORIGINAL, KALISPELL, FLATHEAD COUNTY, MONTANA.
WHEREAS, the City of Kalispell, a municipal corporation, owns certain real
property, to -wit: Lots 1 through 12, Block 23, Kalispell Original, Kalispell,
Flathead County, Montana, and
WHEREAS, Section 7-8-4201, Montana Code Annotated, authorizes the City
Council to sell, dispose of or lease any property belonging to the City upon proper
passage of a Resolution passed by two thirds vote of all members of the City
Council, and
WHEREAS, the City Council of the City of Kalispell on the 4th day of April,
1988 adopted Resolution #3785 declaring an intent to sell said property, estab-
lishing a fair market value of $235,000.00, and directing that said property be
offered for sale at 90% of the fiar market value, and
WHEREAS, no prospective purchasers responding to the advertisement, published
pursuant to Resolution #3785, submitted bids meeting the City's requirement of 90%
of the fair market value, and
WHEREAS, Resolution #3785 and the notice published, pursuant thereto, reserved
the right of the City to sell the property at private sale at an amount agreeable
between the City and a purchaser, in the best interests of the City of Kalispell,
and
WHEREAS, on the 18th day of September, 1909 Hawkins Properties of Boise,
Idaho, tendered to the City of Kalispell an Option to purchase said real property
at the total sum of $211,500.00, said sum being 90% of the established fair
market value of the property, and
WHEREAS, the City Council, unanimously, at a meeting held on the 18th day of
September, 1989, authorized the Mayor to execute the Option on behalf of the City,
and
WHEREAS, the City Council remains desirous of selling said property as the
same is not necessary for the conduct of City business or the preservation of
property owned by the City, and
WHEREAS, said property is not held in trust for a specific purpose and an
election is not necessary to affect its sale, and
WHEREAS, the sale of said property may result in the creation of additional
high quality commercial operations in the Downtown Redevelopment Area, and
WHEREAS, the Hawkins Properties/Warehouse Industries, Inc.'s offer to
purchase said propeerty complies in all respects to Resolution #3785 and said sale
would be in the best interests of the City of Kalispell and its inhabitants, and
WHEREAS, the Mayor has been informed that Hawkins Properties/warehouse
Industries, Inc. desires to exercise its option and purchase said real property
on or before the expiration of the option on the 13th day of June, 1990.
NOW THEREFORE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF KALISPELL:
SECTION I. That the City Council of the City of Kalispell hereby authorizes
the Mayor and City Clerk -Treasurer to execute all legal documents necessary
to transfer, by Warranty Deed, all the City's right, title and interest in
Lots 1, 2, 3, 4, 5, 6, 7, 8, 9, 10, 11 and 12, Block 23, Kalispell Original,
Kalispell, Flathead County, Montana to Warehouse Industries, Inc., said
transfer being contingent on receipt of the sum of $211,500.00,less those
amounts previously received.
