11-16-21 Conrad Mansion Board of Directors MinutesConrad Mansion Board Meeting Nov. 161", 2021 4:00 pm. Kalispell City Hall 1. Welcome Members present: Mark Schickendantz, Everit Sliter, Teri Iwerson, Diane Morton Stout, Mary Pat Murphy, Diane Medler, Beth Collier, Cate Webber, Chris Vick, Carrie Nelson, Brit Clark (Museum Director), and Natalie Robinson (Conrad family member) 2. Approval of minutes- Minutes approved. 3. Treasurer's Report (Everit) • Everit asked if there were any questions about the financials. Gift shop inventory will be adjusted after the end of year counts. The DAD endowment is doing very well. 4. Finance Committee • Discussion regarding policy change recommended by the Finance Committee which would which adjust endowment growth to the Consumer Price Index (CPI) to keep contributions in proportion with current prices. The first year would be limited to 4%. • Everit moved to adopt the policy proposed by the finance committee. Mark S. seconded. • The motion was amended to include that this policy will supersede any previous spending policy for income generated by the endowment. All in favor. • Chris Vick mentioned that our current policy states that mansion funds be spend on maintenance and collection. This will still be part of the new policy. Cate recommended that the policy include the good provisions from previous policies and also that it is in compliance with MT Code Annotated (MCA). This spending policy only limits the spendable portion calculations. • Diane Medler suggested updating our new board member packets and including a written copy of what our policy is. • Employee Retirement- Mark and Chris provided a brief update that employee retirement plans must cover all qualifying employees. The number of hours worked could be a determinant. Rob Braig at D.A.D. is still getting more information for Mansion. 5. Marketing Committee (Diane M.) • Brick project update- Committee is in process of creating signs and fliers for the Dec. launch. There will be an online order form, newspaper ads, plus outside signs at the mansion. There will be a soft launch for locals with more in February. Teri proposed including a photo of the board and the bricks. An article about the people who take care of the mansion. Brit would like brief bios of board members. 6. Museum Director's Report: • Christmas -The tree is officially decorated. Cindy and Robert are decorating room by room. Outside lights will be put up on November 21". There are no junipers to decorate this year. The Christmas Carol Radio Broadcast with the Gypsy Theater Guild will be Dec. 3rd through 5t". Proceeds will be split equally. Tickets are $30 for adults, $25 for seniors and $15 for teens & children. Tickets also include the option for guests to have a 30 min. self guided walk through after the performance. Volunteers are all set for the Christmas tours. • Ghost Tours- Were sold out this again and received positive feedback. The online sales were entered in Nov. financials. • Boilers- Central Heating and Air will provide a quote in January. In process of getting other plumbers to look at the boilers, but they have affirmed that it is best to have two and that now is a good time to replace them. • Teas & Tours- There will not be Christmas Teas this year, but will still do Mother's Day teas. Teas will not use the Conrad dining table. • Off Season Tours- will start in January. Tours will be offered by appointment only. • HR- Brit has been working with Tia on an updated Employee Manual to implement in 2022. The current manual was created in 2004. An Assistant Director is needed. Would like to start looking at candidates in Jan -Feb. Previous job descriptions are available. There was a request for a list of the recommended bonus amounts for guides. Sharon wanted to donate her time for this year. She is a volunteer. • CAP Assessor Report update- Met with assessors Leslie and Beverly. They are happy with our progress. • Round Up for Safety- Air Conditioner installation project is complete. • Women Who Wine- The year end giving ceremony will be Dec. 71n 7. Other Business- Chris Vick has generously offered to host a catered Christmas dinner at the next meeting on Dec. 141". Board officers and employee bonuses will be the agenda. 8.
