City of Kalispell December 15, 2020 Amendment #4 to Contract This Amendment modifies the terms and conditions of the Contract for services in connection with Alta Project 00- 2018-118 Kalispell, MT Trail and Complete Street TIGER Project. By signing below, the signatories represent that they are duly appointed representatives of the respective parties to the Professional Services Agreement ("Contract') between Alta Planning + Design, Inc. ("Prime Consultant"), and City of Kalispell ("Client"), dated May 2. 2018 and possess the authority to execute this Amendment. As of the date signed by both parties, the terms of the Contract are amended as follows: 1. CHANGE IN CONTRACT TERM: N/A 2. CHANGE IN SCOPE OF SERVICES: The scope of services is amended to revise existing Task 5.1.2 and to include the additional services all as set forth in Exhibit A to this Amendment. 3. CHANGE IN SUBCONSULTANT HOURLY RATES: WGM's hourly rates are updated as shown in Exhibit A to this Agreement. 4. December 17, 2020 sirAre 7 Date Joe Gilpin, Vice President, as duly authorized Page 1 of 1 Cii ell r ature Date Doug Russell, City Manager TASK 5.1.2 — DEVELOP A SURFACE SOIL MANAGEMENT PLAN • Surface Soil Management Plan (SMP) o The SMP will provide details how excavated surface soil (2 to 3 ft bgs) will be managed, characterized, and disposed (if necessary) during construction o Task 5.1.2 Deliverable - Soil Management Plan The professional services agreement between WGM and Alta Planning + Design, dated November 14, 2019, was prepared using WGM's 2019 Fee Schedule. This change order for development of the SMP does not change the task scope of work, it only updates the fee estimated based on WGM's 2020 fee schedule. ADDITIONAL TASKS — CONDUCT A PHASE II ESA The Phase II ESA is intended to ascertain by chemical testing of samples and generally within the requirements of ASTM E1903-11, "Environmental Site Assessments: Phase II Environmental Site Assessment Process," whether the RECs and/or business environmental risks identified from the Phase I ESA have resulted in the presence of"hazardous substances" as defined by CERCLA, and/or of petroleum and petroleum products at levels that would exceed Montana DEQ (DEQ) or US Environmental Protection Agency (EPA) screening levels. The following tasks are included for the proposed work: Task 1— Project Management Project management duties will include client coordination; kickoff meetings and follow-up meetings, as needed; development of a project schedule; project status tracking; budget tracking; and, quality assurance/quality control. Task 2 — Preparation of a Work Plan WGM will develop a Work Plan which will be generally consistent with the City of Kalispell's Brownfields approved Programmatic Quality Assurance Project Plan (PQAPP). WGM will review existing reports and background information concerning the Site to ensure that we have all information pertaining to contaminants of concern (COCs) and associated media identified at the site. Sampling will be designed to determine the presence or absence, magnitude, and extent of the COCs. The work plan will include project schedule, applicable regulations, materials and equipment needed, assessment procedures, decontamination systems, investigation- derived waste disposal procedures, and inspection protocols. Task 3 — Fieldwork Preparation WGM will prepare personnel, field equipment, laboratory supplies, sampling equipment, and decontamination materials for the fieldwork. WGM will obtain written consent of current owners of the Site prior to conducting fieldwork. Task 4 — Site Assessment and Drilling WGM will conduct the fieldwork described below, including: o Drill eight (8) soil borings to a maximum of 3 feet below ground surface (ft bgs) to investigate potential impacts to the Subject Property from the adjacent properties o Collect a minimum of one (1) soil sample from the bottom (2 to 3 ft bgs) of each soil boring o Submit the soil boring samples for laboratory analysis of chemicals of concern (CoCs) including volatile petroleum hydrocarbons (VPH), extractable petroleum hydrocarbon (EPH) screen, volatile organic compounds (VOCs), and Resource Conservation and Recovery Act (RCRA) metals including arsenic, barium, cadmium, lead, selenium, silver, and mercury Task 5 — Preparation of a Phase H Environmental Site Assessment (ESA) Report Data collected from the Phase II ESA will be compiled into a report that describes the investigative methods and an evaluation of the laboratory results. The report will provide a conclusion whether there are "hazardous substances" as defined by CERCLA, and/or petroleum and/or petroleum products at levels that exceed DEQ or EPA screening levels. Data from the Phase II ESA report will also be used to develop the Soil Management Plan with contingencies for handling potentially contaminated soil. The report will include an evaluation of the sampling data obtained during the assessment; interpretation of the results; waste management activities; and, conclusions and recommendations. Tables, figures, and appendices will be included as appropriate to provide a clear and complete picture of the work completed. Deliverables Soil Management Plan and Phase II ESA report Assumptions It is assumed that the access to the Rail Line Corridor is granted by the City of Kalispell and that WGM is accordingly granted access as part of the agreement. It is also assumed that only one sample per soil boring will be submitted for laboratory analysis, and that laboratory turnaround time will be standard at 10 working days. Finally, it is assumed that Alta Planning + Design and/or the City of Kalispell will provide exact locations where excavation of soil deeper than 2 feet below ground surface (ft bgs) will occur along the proposed trail construction. Exclusions: Items not explicitly listed are excluded from this scope of work, but may be added upon request and modification of the scope and budget for the project. Fee Estimate: A detail of the fee estimate for the Phase II ESA is included in the table below. Our fee schedule will be revised on January 1, 2021 and fees in 2021 will be billed based on those rates.
