02-19-19 Conrad Mansion Board of Directors MinutesCONRAD MANSION Board of Directors Meeting February 19, 2019 Members Present: Carrie Nelson, Leah Lindsay, Diane Medler, Beth Collier, Rita Fitsimmons, Mark Schichendantze, Everit Sliter, Chris Vick, Sue Corrigan, Mary Pat Murphy, Mark Norley, Teri Iwersen, Katharine King, Cate Webber, Brit Cark, Assistant Director, and Will Chippich, Executive Director, one guest, Natalie Robinson. Meeting called to order at 4:00 at the Kalispell City Hall. President's Report: Sue said we will primarily talk about the budget. We have a budget deficit of $26,000 in the preliminary budget. Some things will be put into separate accounts. Will wants to separate maintenance costs from operations in the budget. Increase the price of tours $2.00 each category. Raise the cost of Bus Tours by $2.00 also. Sue wants to use the proceeds from the Endowment fund of $10,500 for the window repair project. The Endowment has accumulated about $42,000 over the past few years. We have four bids to repair the window trim, scrape and paint. Should take about 2 - 3 weeks to complete. Chris moved we use the proceeds, Mark N. second. Motion passed. Mark S. moved that the CMM Endowment Investment policy be modified to allow the transfer of all accumulated endowment fund earnings to a new D.A. Davidson account and that all future earnings from the present 'managed' account be swept in the same manner. Further, that any funds remaining in this new account, may be directed -at the approval of the board -to be utilized in the maintenance, improvement or expansion of the physical CMM facility. Everit second stating no management fee on the new account which is being called the "maintenance account". Discussion followed. Motion passed. Treasurer's Report: Everit said we had a substantial increase to the Endowment in January. New appreciation was $8,000 for the year. He is working on the tax return with some changes on December entries. The sale of inventory items is going well. Assistant Director's Report: • On May 23, 2019, 3:30 to 6 pm there will be a celebration of life to honor Miriam. • The Women Who Wine event went well. We should expect a donation from them at their End of Year Banquet. • Working on membership with the Central School Museum. • Our newsletter went out recently. • We are hiring tour guides for the new season. Executive Director's Report: • The heat tape is working. • Carpeting install has been pushed back to the first 2 weeks in March. • Will is getting installation quotes for the brick project. Leah suggested Fantasy Builders. • The Garden Ball with symphony is planned for July. Will and Lucy will decide on the best date that will not conflict with other area events. • Will wants to make Christmas a bigger deal for the Mansion. Festival of Trees with 10 donated, decorated trees with a raffle and lighting event. Perhaps self - guided tours. • A new website is being designed with ticket sales on-line. • Planning for a New Year's Eve event. New Business: Sue talked about Board Officers' terms and that we need to approve officers every year. She also announced that she and Cate wish to resign from the Board Officers positions. We have a slate of incoming officers: Katharine King as President, Mary Pat Murphy as Vice President, Carrie Nelson as Secretary and Everit as Treasurer. Mark S. moved we accept the slate of Officers as presented. Mark N. second. Motion passed. Meeting adjourned at 5:20 pm. Next Meeting: Tuesday, March 29, 2019 at the Kalispell City Hall.
